As a member of the CapitaLand Development in-house legal team, you will be working on several complex transactions involving real estate acquisitions, development and divestments. This would involve structuring based on legal requirements and to achieve tax efficiency, M&A transactions, joint ventures, and general advisory work. Our in-house counsels provide legal expertise and a seamless integrated service across our offices in Singapore and other countries (e.g. China, US, Korea, Indonesia, Malaysia, Vietnam, Japan, Australia). You will counsel and strategically collaborate with our business partners in Singapore and overseas to minimize risk, creatively solve problems, contribute to cost-saving initiatives and resolve disputes, while achieving the company’s business goals.

Responsibilities

Your key responsibilities will include the following:

• Provide legal support and advice to the various departments and business units of the company, including country operations, finance, sales, human resources, and the project design, development and construction teams, on all real estate, development and construction-related legal matters
• Negotiate, draft and review a wide range of real estate agreements, purchase and sale agreements, leases, employment contracts, financing and mortgage/security agreements, vendor agreements, service agreements, NDAs, and more
• Negotiate and minimize risk in joint venture agreements with partners
• Assist in the creation of processes for managing legal issues from all business areas and help provide training, create templates, and manage workflows to allow business units to move quickly while addressing key risks
• Work with external counsel as necessary on litigation, disputes, and other matters
• Manage external counsel on transactions to ensure high quality, commercially focused, and cost-effective legal advice
• Report directly to the Head of Legal, and work with senior executives to design efficient and effective general controls
• Assist in the drafting of policies, guidelines, legal templates and other documents to ensure best practices
• Assist in corporate secretarial matters

Qualifications

• Minimally, you should hold a Bachelor’s degree in Law and have at least 5 years PQE in a law firm or as an in-house counsel with a corporate real estate focus
• Good academic history and proven legal skills, combined with a strong reputation for providing commercial solutions, excellent transactional and management skills
• Strong background in general corporate work, probably gained from practice in a law firm or as an in-house counsel
• Able to work confidently with our stakeholders, as well as create workable bespoke solutions to facilitate our stakeholders’ objectives
• Experienced in advising on complex international transactions and in organising and managing transactions, including cross border transactions
• Excellent document drafting skills, strong communication and analytical skills along with a high level of commercial awareness

PURPOSE:

• Assist manager to oversee finance operations (accounting, consolidation & treasury) ensuring compliance with all local accounting, tax and regulatory requirements and standards
• Lead FXAP group legal accounting & consolidation process ensuring accounting compliance for the group
• Manage foreign exchange exposure, cash liquidity and financial arrangements for the group
• Analyze balance sheet (BS) items to identify issues for better BS management
• Lead cash management strategy for the group
• Lead improvement of APO finance processes and financial accounting quality improvement.

RESPONSIBILITIES & TASKS:

• 2IC (second in charge) to support & cover Operation Finance Head as needed
• Very hands on with daily operations to cover staff level activities due to current resource shortage
• Lead FXAP group treasury, financial accounting & consolidation process, ensuring reporting to Head Office is on time and accurate.
• Ensure APO / OpCos practices are in line with policies and guidelines. Provide instructions of relevant policies for OpCos and APO Finance members.
• Lead quarterly confirmation of financial statement risk assessment of FXAP and OpCos.
• Validate accuracy of quarterly closing schedule submitted by OpCos.
• Hands-on involvement to support month end closing: journals, reconciliation, analysis, consolidation etc.
• Support daily finance operations activities.
• Manage foreign currency exposure using financial instruments such as forward contract, NDF (non-deliverable forward) and complying with FX group guideline
• Ensure accuracy & reliability of foreign exchange gains/losses reported in the financial statements
• Perform monthly analysis of currency exchange gain / loss for the group & report to Corporate
• Monitor OpCos hedging activities & cash position ensuring compliance to group guidelines
• Daily cash management for FXAP
• Develop / propose cash management strategy for the group (e.g. evaluate cash positions of overseas subsidiaries and to propose dividend strategies to Corporate, assess mid-term cash requirements of the group and propose the most effective cash management strategy)
• Develop funding plan (new loan facility / renewal) as a group.
• Monitoring and managing the organisation's bank relationships and liquidity management
• Source and negotiate with banks for competitive cost of funding, investment & hedging instruments
• Prepare accurate and timely reports for stakeholders
• Establish, document and implement policies & procedures necessary to ensure a high degree of quality in work performed by area.
• Initiate & lead improvements of group consolidation / finance operations.
• Liaise with Tax Agents and external auditors to ensure APO accounting treatments comply with accounting policy and regulation.
• Manage the statistical survey requests from government bodies
• Review OpCos compliance / monitoring reports. Suggest / initiate / lead improvements as needed. Provide timely reporting to Corporate in a timely manner Team management & development: Manage the team, provide coaching & develop team members

Min Years of Experience and knowledge:

• Degree in Accountancy and 10 years working experience in accounting operations / consolidation / MNCs and Treasury function

Minimum Qualifications

Requirements:

• Degree/Diplomas in Mechanical / Mechatronics Engineering

Jobs Scope:

• Contribute to achieve long term strategic plan of expansion into key markets.
• Work with Senior Management to develop the selection criteria & key negotiation terms for technology licensing, JV or other collaboration methods
• Identify the areas of opportunities and focus for products & services recommendation
• Identify potential new markets locally and abroad, and create a plan to enter the market.
• Develop and use knowledge of the markets to identify, develop and support the Company’s unique selling propositions and differentiators.
• Analysis of customer research, current market trend and conditions information.
• Research, find, build, develop and enhance new & existing relationships with key business consultant, government, industry association, academic institutions in related areas and turn into business opportunities.
• Identify opportunities for selling and distributing channels that will lead to increase business opportunities.
• Attend related activities, such as conference and seminars, and provide feedback and information on market trends.
• Planning and preparing presentations. Conduct information sessions and other presentations of events, products and services to enhance existing/new relationships.
