The team

Our Singapore and London offices provide a full suite of company secretarial ('CoSec') services to support clients both directly and indirectly through the various departments within the Firm.

In Singapore, the team is an integral part of our large corporate and private client practices. They provide company secretarial services to clients owned by the Firm's ultra-high net worth and corporate client base. Our CoSec team is instrumental to the business and is committed to delivers the highest quality corporate secretarial services.

The role

We are seeking a dedicated Corporate Secretarial Executive / Senior Corporate Secretarial Executive to join our team. This role requires an experienced professional with strong corporate governance knowledge and ensure compliance with the relevant regulations to deliver efficient corporate secretarial services ranging from public to variable capital companies.

Key Responsibilities

• Manage a portfolio of clients and oversee their corporate secretarial needs.
• Ensure compliance with the Companies Act, SGX Listing Rules, and other statutory requirements.
• Maintain and update registers, minutes book, and statutory records.
• Prepare notices, minutes and resolutions for board and shareholders meetings.
• Coordinate and facilitate the Annual General Meetings and Extraordinary General Meeting.
• Liaise and coordinate with clients on Annual Returns and other statutory filings.
• Advise on corporate governance and regulatory matters.
• Assist with client onboarding and conducting of Customer Due Diligence / Know Your Clients checks.
• Assist with ad-hoc corporate secretarial matters from time to time.

Key Skills and Experience

• Experience in an established CoSec practice, ideally 3 to 5 years within a professional service environment
• ICSA qualification is essential and membership with SAICSA will be highly regarded
• In-depth ACRA and SGX Listing Rules knowledge as well as general working knowledge of other corporate entity management platforms (eg. CAS 360)
• Enthusiastic about providing exceptional client (external and internal) service
• Strong commercial awareness, financial aptitude and with the integrity to handle highly confidential information appropriately
• Excellent communication skills and high levels of interpersonal skills, and of course, able to stay calm under pressure
• Organised, conscientious and highly detail-oriented and
• Technically competent and importantly, an ability to use your initiative to adapt and think laterally
• Enjoy being a team player, with a flexible and can-do attitude and approach
• Self-motivated and goal focussed, you will enjoy change and variety, and thrive under pressure

The Essentials

• This role is part of our fee-earning team and is a business partnering role within our Corporate team.
• From time to time, the incumbent will have the opportunity to be involved in our wider firm social & cultural activities. We think this is a great thing!
• Our Firm operates under a 'Mobile Working' arrangement. As such, and with due consideration for the needs of the business, requirements for in-office activities as well as maintaining strong engagement with the team and colleagues within the office, the Corporate Secretarial Executive/Senior Corporate Secretarial Executive will have the opportunity to divide their time working in or external to the office.
• Business hours: Monday to Friday, 9:00am to 6:00pm however given the nature and scope of the role, flexibility in availability is required.
• We provide 21 annual leave days per annum + an annual "Wither's Day"

About the company
Our client is a SGX-listed company with strong footprints across the globe. They are looking to onboard a corporate secretary on a 6-month contract basis (with high possibility to conversion/ extension).

About the job
Working closely with the Board of Directors and leadership teams, you will play a pivotal role in supporting on a wide range of corporate governance matters, ranging from attending board and committee meetings and writing minutes, advising on company law and regulations, to preparing corporate governance documents and maintaining statutory filings. You will work closely with the legal team and instruct external service providers on corporate transactions and more.

Skills and experience required
Ideally, you are ICSA/ SAICSA/ CGQP qualified with at least 8 years of corporate secretarial experience gained in corporate service providers or in an in-house environment. Prior experience in managing SGX listed companies (Mainboard or Catalist) will be highly regarded. A self-starter with high motivations, you thrive in a fast-paced team environment to meet challenging time lines.

• Working experience in property development / construction industry would be advantageous
• Hands-on experience in using accounting software and other PC applications

Accounting duties

• Process payments

Corporate Secretarial duties

• Assist in corporate secretarial administrative duties such as updating of registers and minute books, arranging for signatories on resolutions, filing, archiving, etc.
• Assist in routine ACRA lodgements and preparing simple corporate secretarial documents
• Assist in liaising with corporate secretarial agents on the preparation of corporate secretarial documents

Other duties

• Filing, archiving of documents and other administrative work assigned from time to time.
• Any other ad hoc accounting and administrative duties

• Perform the preparation and cooking of assigned menu items in accordance with established recipes and standards.
• Ensure cleanliness and sanitation of the kitchen, equipment, and utensils at all times.
• Follow hygiene, safety, and food processing regulations set by the company and government.
• Operate kitchen equipment safely and immediately report any malfunctions to the superior.

• 10-15 years of post-qualification experience.
• Prior experience in technology/ wealth or venture capital industries.
• Extensive senior-level accountancy experience, including directorship and board reporting.
• Comprehensive understanding of corporate finance and accounting principles, laws and best practices.
• Expertise in areas like receivables, payables, payroll and treasury functions.
• Proven experience managing a team responsible for accounting functions within an organization.
• Familiarity with accounting practices for advanced technology businesses.
• Experience in project-based accounting and finance business partnering.
• Knowledge of intellectual property (IP) development accounting and capitalisation rules for IP/intangible assets.
• Mastery of IFRS (International Financial Reporting Standards).
