Job Summary

Reporting to the Head of Risk, this will be an instrumental role in driving enhancements to the risk management framework working alongside with colleagues at the Group and BU levels.

Job Description

• Implement and roll out Enterprise Risk Management Framework for the FPL Group, including local and overseas subsidiaries. Besides partnering Business Units (BU)/ Departments in their risk assessments, risk measurements and developing risk mitigation plans, incumbent is expected to proactively drive risk management implementation across different asset class, actively engaging and getting buy-ins from the BU Heads. The Incumbent is also expected to oversee the and Business Continuity Management programme of the Group.
• In charge of the overall implementation of an effective and efficient risk management programme, facilitate meaningful and insightful reporting from line management to the Group. Assist in conducting risk training / workshops; implement programme and trainings to raise the overall risk conscious culture for the Group.
• The Incumbent is expected to keep up to date the latest risk management issues and emerging trends and able to identify relevant risks that may impact the Group business.
• He/ She must demonstrate the ability to think conceptually while at the same time be attentive to details.
• The incumbent is expected to be versatile and to bring in risk management experience to the Group to enhance the overall risk management process and framework
• Financial knowledge is important as he/ she is to assist in the mapping of risk appetite/ risk tolerance, and other key risk indicators. Knowledge of risk input to investment assessment is preferred.

Key Qualification

• Degree in Accounting & Finance / Business
• At least 12-15 years of working experience in enterprise risk management
• Good knowledge of risk management and internal control concepts, leading risk management practices and standards (e.g. ISO 31000, COSO) and SGX-ST requirements.
• Being versatile, self-motivated and strong thinker and executor. Excellent in communication and people management and stakeholder management.

Responsibilities:

• Assist in the execution of various corporate finance transactions such as issue manager (IM) for initial public offerings (IPOs) and rights issues, financial adviser (FA) and independent financial adviser (IFA) for privatisations, general offers (GOs) and reverse take-overs (RTOs), interested person transactions (IPTs), mergers and acquisitions and corporate restructuring.
• Perform due diligence on transactions and research on companies and industries.
• Advise clients on the compliance requirements of SGX listing rules as well as the relevant securities regulations.
• Assist in the drafting and review of legal documents such as prospectuses, circulars or information memorandums.
• Support origination efforts through the preparation of pitch books and marketing materials.
• Liaise with clients, professional parties and regulatory authorities to work towards successful completion of transaction.

Requirements:

• Degree in Accountancy/Business/Finance
• From graduate and up to 2 years of corporate finance, valuation or auditing experience
• Self-motivated, responsible, meticulous, strong analytical ability and project management skills and good team player
• Good command of English and Mandarin to communicate effectively with clients and staff which are mainly English and Mandarin speaking
• Strong communication and writing skills
• Possess an aptitude for critical thinking and problem-solving
• Able to travel for work assignments when required

The Corporate Secretarial Executive will work closely with the Executive Director and Managers in the Corporate Secretarial (CoSec) department to provide overall management of the corporate secretarial work and facilitation as well as internal services of the corporate level and the external liaison work.

Key Responsibilities:

• Handle a portfolio of local private limited companies and branches of foreign companies with minimal supervision.
• Manage all corporate secretarial work related to your portfolio including preparing necessary documents/resolutions, bizfiling, updating statutory registers, liaising with clients, etc.
• Liaise with and advise clients on company formation, annual compliance and ongoing company administration matters.
• Liaising with Registered Agent for incorporation of offshore companies.
• Maintaining and updating companies’ statutory registers, filing of certain specific resolutions with the Company Registrar of various offshore jurisdictions in compliance with the respective statutory requirements of each jurisdiction.
• Performing related ad-hoc assignments pertaining to the role

Requirements and Qualifications:

• 2 years of corporate secretarial experience in the Corporate Services Industry or related field
• Minimum Diploma, or Certification of specific major, or equivalent corporate secretarial qualifications
• Meticulous, ability to multi-task, organize, and prioritize work.
• Able to work independently and with integrity, with fair and principled temperament with a facilitative and commercial approach to matters.
• Demonstrate strong interpersonal skills when interacting with internal and external clients.
• Excellent written and verbal communication skills
• Proficiency in Microsoft Office suite (Outlook, Excel, Word, PowerPoint, etc.).

The following is a plus:

• Knowledge of BizFile and XBRL will be a plus.
