Overview

He/She will provide efficient and timely legal support to all business functions within the Company Group. The Legal Counsel is based in Singapore and supports primarily the Singapore businesses but some regional support in China, Australia and Indonesia may be required.

Duties and Responsibilities

1.Legal

• Drafting, vetting and negotiation of various agreements including dealer/ distributor agreements, bank facility and security documents, tenders, procurement contracts or service agreements with vendor / suppliers, tenancy agreements etc.

• Ensure compliance with relevant laws, rules, regulations and guidelines.

• Highlight potential risks and provide recommendations to limit exposure.

• Advice and manage disputes/litigation.

• Administration of Group’s intellectual property and proprietary information.

• Drafting and review of corporate documents such as shareholder and board resolutions.

• Manage external legal counsel

In this role, you will provide legal advice to the financial advisory business and marketing department.

Area of focus: Financial advisory business, data protection, regulatory compliance, disputes and general corporate commercial matters. This will include the drafting, review and negotiation of vendor contracts, non-disclosure agreements, general terms and conditions for events / promotions and agreements relating to the financial advisory business generally. [80%]

Perform other responsibilities and duties as assigned from time to time, including new business initiatives and transactions. [20%]

Requirements:

• Education – Law degree from a local university.
• Ideally should be familiar with local regulations pertaining to the insurance and financial advisory industry.
• At least 4-7 years PQE, of which at least 3 were spent in practice/at a law firm.
• In-house experience at a regulated financial institution in Singapore.
• Familiarity with Financial Advisors Act as well as MAS and LIA regulations and guidelines.
• Certifications/licenses – Admitted to the Singapore Bar (or Commonwealth equivalent), and of good standing.
• Strong analytical and organizational skills – willingness and ability to identify issues, follow up systematically and work with stakeholders to resolve.

Responsible for the management and handling of the company's legal affairs, including contract drafting or review, legal document drafting, dispute resolution, intellectual property management, compliance review of company rules and regulations, etc., to ensure the compliance of the company's business and control of legal risks

2. Track and study the changes and updates in relevant laws and regulations, conduct risk assessments in a timely manner, and develop corresponding response strategies

3. Assist the company in resolving legal disputes and controversies, and safeguard the interests of the company,

4. Answer legal questions during the company's operation process and provide legal advice and assistance to other departments

5. Establish and maintain good cooperative relationships with government departments and law firms, and obtain necessary legal support and consulting services.

Job Requirement:

1. Bachelor's Degree in Law/Legal Studies/Construction law or related in relevant industry

2. With work experience of over 2 years from law firm or corporate that deals with legal matter.

3. A team player with the willingness to be involved beyond the formal job remit

4. Able to converse in both English & preferably Mandarin as required to liaise with Mandarin speaking clients

5. Strong written and oral communication skills, good at communication, proactive management and team spirit.
