Job Responsibilities

1. Provide administrative support to managers, including assistance with paperwork

As one of the largest offshore law firms in Singapore, our office provides clients in Asia with access to specialist offshore lawyers who practise the laws of Bermuda, the British Virgin Islands, the Cayman Islands and Jersey.

We are seeking a Barrister, Attorney or Solicitor with excellent academic qualifications, who is admitted to practice in a common law jurisdiction and has a minimum of 2 years' post qualification experience in a diverse range of corporate and finance matters including acquisition finance, fund finance and restructuring. A UK qualification would be highly advantageous and experience in an offshore law firm is essential.

Key Responsibilities:

1. Manage shareholder meeting, inlcuding annual general meetings (AGM), and other meetins such as EGM;
2. Corporate Records and Documentation: Maintain client companies corporate records, including minutes of meetings, corporate resolutions, and compliance documents;
3. Ensure clients companies adhere to legal requirements, including filing necessary documents with regulatory bodies;
4. Assist in the orientation of new board members;
5. Implement strategies to improve the Boards effectiveness;
6. Maintain and update the company's corporate governance policies and procedures;
7. Ensure the organizations compliance with the Personal Data Protection Act (PDPA) and other relevant local and international data protection laws;
8. Monitor and stay updated on changes in data protection laws and advise the organization on necessary adjustments;
9. Act as the primary point of contact for data protection authorities, including the Personal Data Protection Commission (PDPC) in Singapore.

Requirements:

1. Bachelors degree in Law, Business Administration, or related field. A professional qualification in corporate governance (e.g., ICSA, IACG) or legal background is preferred.
2. Professional certifications in data protection or privacy (e.g., CIPP/E, CISM, CISA) are preferred.
3. A member of the Institute of Singapore Chartered Accountants (ISCA) are preferred.
4. A member of the Association of International Accountants (Singapore Branch) are preferred.
5. A member of the Chartered Secretaries Institute of Singapore (CSIS) are preferred.
