Responsibilities:
- Organize and schedule board meetings, ensuring all members are informed and available
- Develop and distribute meeting agendas in collaboration with the board chair and executive team
- Record detailed minutes of board meetings, capturing key discussions, decisions and action items
- Maintain accurate records of all board activities, including meeting minutes, resolutions and other official documents
- Ensure the organization adheres to legal requirements, including filing necessary documents with regulatory bodies
- Maintain the company's corporate seal and ensure proper use in relevant documents.
- Act as a bridge between the board and management, facilitating clear and effective communication
- Distribute important information and updates to board members in timely manner
- Provide guidance on governance best practices and ensure the board operates within its laws and policies
- Assist in the orientation of new board members
- Implement strategies to improve the Boards effectiveness.
- Maintain and update the company's corporate governance policies and procedures.
- Ensure the organizations compliance with the Personal Data Protection Act (PDPA) and other relevant local and international data protection laws.
- Monitor and stay updated on changes in data protection laws and advise the organization on necessary adjustments.
- Develop, implement, and maintain data protection policies, procedures, and frameworks to ensure ongoing compliance.
- Conduct regular audits to assess the effectiveness of the organizations data protection and privacy measures.
- Act as the primary point of contact for data protection authorities, including the Personal Data Protection Commission (PDPC) in Singapore.
- Advise senior management on data protection matters and risks.
- Provide regular reports on data protection compliance and risks to the management and regulatory bodies as required.
Requirements:
- Bachelors degree in Law, Business Administration, or related field. A professional qualification in corporate governance (e.g., ICSA, IACG) or legal background is preferred.
- Professional certifications in data protection or privacy (e.g., CIPP/E, CISM, CISA) are preferred.
- At least 8 years of experience in a corporate secretarial or governance role, ideally within a publicly listed company or large organization.
- In-depth knowledge of corporate governance practices, legal regulations, and compliance matters.
- Excellent command of English and good interpersonal skills
- Strong organizational skills
- High level of initiative and independence. Able to multitask and deliver results in a fast-paced environment
- Ability to deal confidentially and sensitively with an increasingly varied range of issues in a complex environment
- Demonstrated ability to accept responsibility and work effectively both independently and within a team
- Demonstrated ability to maintain a professional image and deal with key members of the University, government departments and other external bodies as required
- Ability to develop and build relationships with key stakeholders
- Legal and governance knowledge
- Strong interpersonal skills with the ability to collaborate effectively with senior executives, Board members, and external stakeholders.
- Familiarity with Data Protection Practices.
