To manage and oversee all functions related to in-house legal counsel, company secretarial duties (primary or alternate), as well as contract and procurement management for our business operations. You will protect our reputation and minimize legal, contractual, and compliance risks by ensuring that the Group and Company adhere to legal and statutory obligations in all jurisdictions where they operate, while providing practical and reliable legal advice to management and business partners on relevant matters.
Key Roles and Responsibilities
Offer precise and timely legal counsel to executives on a range of legal, contractual, and procurement matters (e.g., labor law, partnerships, local and international ventures, corporate finance, etc.).
Work closely with management to develop effective defense strategies for optimal positioning of the Group and the Company.
Establish internal governance policies for contracts and procurement, and monitor ongoing compliance.
Analyze and assess various risk factors related to business decisions and operations.
Implement proactive risk management strategies and provide guidance on potential legal, contractual, and procurement concerns.
Engage and negotiate with external stakeholders (clients, vendors, regulators, external counsel, public authorities, etc.).
Draft and finalize agreements, contracts, and other legal documents to safeguard the Group's and Company's legal interests.
Handle complex matters involving multiple stakeholders.
Advise the organization on legal risks while maintaining a balance with commercial considerations.
Provide clarity on legal terminology or specifications to staff within the organization.
Carry out duties with attention to detail, integrity, and responsibility.
Stay updated on legislative changes in all jurisdictions where the Group and Company operate.
Perform corporate secretarial functions, including participating in Board/Management Committee meetings, drafting resolutions, and ensuring the implementation of Board and Management Committee action items.
Support contract and pricing negotiations, and prepare agreements with clients, suppliers, business partners, employees, and other relevant parties.
Assist with the administrative needs of the legal team.
Contribute to special committees and lead projects for process improvement and innovation.
Carry out any additional duties assigned by the Group and Company.
