Overview

He/She will provide efficient and timely legal support to all business functions within the Company Group. The Legal Counsel is based in Singapore and supports primarily the Singapore businesses but some regional support in China, Australia and Indonesia may be required.

Duties and Responsibilities

1.Legal

• Drafting, vetting and negotiation of various agreements including dealer/ distributor agreements, bank facility and security documents, tenders, procurement contracts or service agreements with vendor / suppliers, tenancy agreements etc.

• Ensure compliance with relevant laws, rules, regulations and guidelines.

• Highlight potential risks and provide recommendations to limit exposure.

• Advice and manage disputes/litigation.

• Administration of Group’s intellectual property and proprietary information.

• Track/administer key agreements with principals

3.Protection/Management of Intellectual Property/Data

Job Requirements

• Good law degree from NUS or SMU or recognized overseas law degrees from United Kingdom and called to the Singapore Bar

• 6 to 8 years PQE and in-house legal counsel experience

Essential Duties & Responsibilities

Duties are performed throughout every work day, as necessary. Duties include, but are not limited to, the following:

• Type and edit legal and other documents in accordance with timekeepers instructions including correspondence, presentations, and ensure accuracy of copy, formatting, grammar, punctuation and syntax.
• Receive, screen and transmit telephone calls, conference calls and messages to/from attorneys, clients and staff.

The successful incumbent will Assistant Director, Operations / Lead Reintegration Mentor in ensuring the smooth running of the daily operations at Selarang Halfway House (SHWH) or future new site at Cosford and is responsible for the safety and welfare of the residents and the overall security of the Halfway House premises. 1. Oversee security screening to ensure contrabands are not brought into the house.

We are helping our client- a leading sportswear brand known for its high-quality athletic footwear, apparel, and accessories, seeking a skilled and experienced Legal Manager to join a dynamic team in Southeast Asia. This role offers the opportunity to provide legal support across a range of commercial, operational, and business expansion matters.

Key Responsibilities:

• Act as the primary legal advisor to the Southeast Asia leadership team, working closely with the Group’s legal headquarters.
• Draft, review, negotiate, and manage various commercial agreements, including leases, distribution agreements, partnerships, e-commerce, and marketing contracts.
• Advise on legal aspects of campaigns, events, and communications.
• Develop, update, and optimize contract templates and legal documents.
• Contribute to legal knowledge management and collaborate with internal and external stakeholders to resolve legal disputes.
• Monitor and assess new regulations, providing advice on legal risks and commercial solutions.
• Provide training on legal matters to internal teams.
• Manage legal budget and external counsel.

Qualifications:

• Bachelor’s degree or higher in Law from a reputable institution.
• Minimum of 5 years’ experience in a law firm or in-house, ideally within the retail, sports, or apparel industry.
• Expertise in retail, commercial contracts, real estate, data privacy, and employment law.
• Proficiency in English (Mandarin is highly preferred).

The successful candidate will handle, manage, and oversee corporate secretarial matters of TracX Logis Pte. Ltd and its group companies and provide general commercial legal support operating in the APJ region.

Duties and Responsibilities

Corporate Secretarial Support & Compliance

• To support all the Board requirements including preparing directors' resolution and other corporate secretarial related documents as required to support the Company and its group companies' needs and requirements by drafting and/or facilitating execution of corporate documents/resolution.
• To liaise with local corporate secretarial service providers, external legal counsel on corporate secretarial and compliance related matters with specific focus on statutory filings.
• To maintain, update and safekeep records of constitutional documents, Statutory Registers, minutes and resolutions.
• To handle KYC and other corporate secretariat related queries from internal and external stakeholders.
• To ensure compliance with all relevant legislation / regulations by assisting in creating and implementing internal policies that promote legal compliance and best practices.

General Commercial Legal Support

• To provide precise and timely legal counsel on a wide range of legal, contractual, and procurement matters.
• To manage and oversee the administration of legal contracts.
• To work closely with senior management and other teams to offer legal insights and support strategic business decisions.

Job Requirements:

• Minimum 3 years PQE or relevant working experience, in-house experience in a multi-national company is preferred.
• Non-legal professionals with minimum 5 years’ corporate secretarial experience with relevant qualifications will be considered.
• Strong command in English and excellent writing skill.
• Organised and able to manage deadlines and work with tight deadlines.

Duration: 11 months
Salary: Up to $3,450/month

• Develop quarterly news update for Enterprise partners
• Assisting in design and producing of communication materials (Socials, EDMs) to raise awareness of our portfolio of open-source companies
• Outreach to new developers’ communities and augment them to the existing community
• Support outreach engagement efforts (Meet-ups & Conferences)

• Other adhoc duties as assigned
