Job Description

· To support & implement Supply logic 365 ( Business Central) Solution

· Conduct training for clients

· Study and prepare system functionalities for customers

· Conduct mapping & configuration of Supply Logic 365 system for clients.

· Able to enagage and manage clients's users communication during project's implementation.

· Provide ongoing support and coordinate user's requirements with internal team members.

Qualification and Skills

· Candidate must possess at least a Diploma, Advanced/Higher/Graduate Diploma, Bachelor’s Degree, Post Graduate Diploma, Professional Degree, any field.

· Required skill(s): Analytical, IT savvy, good communication skills, business acumen, human relations, Documentation Skill, work independently etc.

· Able to communicate with other team members on system functionalities.

· Training will be provided for Supply Logic 365.

There is an opportunity for one trainee, having completed the Solicitors Qualifying Examination (SQE), to join the Corporate Transactions team.

Some examples of typical trainee work are set out below:

1. Legal research - Company searches are regularly requested, but more detailed or complicated research may also be required. The corporate team in Singapore and/or the PSL team in the UK can guide you if you cannot answer the question yourself or need some direction.
2. Due Diligence – Diligencing corporate and other documentation (e.g. share purchase agreements, shareholders’ agreements, constitutive documents, corporate resolutions), drafting relevant sections of a due diligence report, liaising with other departments and external legal advisers, and coordinating the production of the report generally. Setting up and maintaining data rooms, including liaising with the client, corporate finance advisers and counterparties.
3. Q&A – Raising queries with (or answering queries from) the counterparty in an M&A transaction in conjunction with input from the client where necessary.
4. Drafting and negotiating documents - Drafting ancillary documents such as director resolutions, shareholder resolutions, completion certificates, share transfer forms, resignation letters, powers of attorney and non-disclosure agreements. The Singapore Corporate Precedents Index is a good place to start as it includes links to relevant documents. As well as drafting documents, you may review and comment on documents that have already been drafted by the counterparty’s lawyers or from other CMS offices.

Work Streams & Sectors

The Corporate Transactions team is involved in a large variety of work, including advising clients on the following:

1. Mergers & Acquisitions (M&A) – Private mergers and acquisitions, disposals, joint ventures, restructurings and strategic alliances.

2. Fundraisings and Venture Capital – Advising individual and/or institutional investors, and investee companies on and negotiating the terms of early stage seed investment rounds through to late stage (pre-IPO/exit) investment rounds.

3. Venture Capital (VC) – A range of transactions in which an investor (usually a fund) will invest money in a privately owned business with the aim of growing the business and making a return on their investment when they exit (typically 3-5 years). The team regularly advises the investee company on such transactions, so the level of exposure at a commercial level can also be significant.

4. Warranty and Indemnity (W&I) – From time to time, advising on and negotiating W&I policies in the context of M&A (buy or sell-side) transactions.

5. Corporate Governance and Advisory – Appropriate corporate governance matters, directors’ duties (executive and non-executive), appointment and removal of directors, legal aspects of indemnity and insurance protection of directors.

6. Miscellaneous – Group reorganisations, supporting company incorporations, constitutional documents (e.g. constitutions), shareholders’ agreements, employee share option schemes, warrant instruments, and token issuances.

JOB RESPONSIBILITIES:

• To conduct services on ground but not limited to servicing, food ordering, reservations, cashiering duties etc

Job Description

You will be working in a commercial kitchen preparing inflight meals for airline clients, with the following responsibilities:

• Oversee the operations in Production and Packaging activities
• Monitor the performance of machines/equipment (eg. packaging lines, production lines) and report any malfunction
• Monitor production schedule and ensure timely completion of dishing
• Co-ordinate production and transfer of products between plants
• Organise/participate in time studies relating to shelf-life extension projects
• Use of Warehouse Management System – Infolog for the recording of items received and issued at C2 Plus
• Follow orders in dishing of meals as directed to the quality expected by customers, complying to food safety and hygiene regulations
• Carry out ordering according to load requirements, follow proper stock control and rotation (adhere to FIFO)
• Ensure production staff adhere to HACCP, Medina food safety requirements, and all hygiene procedures • Conduct training of new staff on dishing procedures
• Conduct investigations on discrepancies

Requirements

• Must be able to use PCs and computer systems related to area of work (e.g. Infolog), read computerised worksheets, check and respond to emails when on duty
• Possess good knowledge of food hygiene and food handling procedures

• Support Senior Management in the development and implementation of business strategies. Facilitate and nurture strong client relationships while proposing partnership models (focused on legal aspects) for strategic collaborations.
• Establish and oversee the Contracts Department, managing all aspects of pre- and post-contract administration and tender processes, including procurement activities.
• Lead the team in cost planning and the preparation of tender submissions.
• Supervise the process of obtaining quotations, conducting negotiations, evaluating bids, making recommendations, and finalizing contracts.
• Collaborate with stakeholders to draft, review, negotiate, and execute contracts for marine construction projects. Ensure all agreements are accurate, comprehensive, legally compliant, and aligned with organizational objectives, including assessing obligations, payment terms, deliverables, and associated risks.
• Identify potential contractual and project-related risks, devising and implementing effective mitigation strategies.
• Review and validate monthly progress claims.
• Assess payment claims from subcontractors.
• Attend client and project site meetings to discuss costs, variations, and project-related matters. Coordinate with clients and consultants on key issues.
• Work closely with project managers, engineers, and relevant stakeholders to ensure adherence to contract terms and the achievement of project milestones.
• Track project budgets and expenditures, ensuring alignment with contract terms while identifying potential cost-saving opportunities.
• Provide legal advice and support to various teams, including drafting, negotiating, and managing contract documentation.
• Engage with internal and external legal advisors to address and resolve disputes.
• Prepare formal contractual correspondence to clients, consultants, and subcontractors, such as extension of time claims and other key notices.
• Maintain comprehensive records of contract activities and provide regular updates to senior management regarding contract status, risks, and challenges.
• Conduct regular reviews to evaluate contract performance, identify areas for enhancement, and optimize overall value delivery.

Requirements:

• Bachelor’s degree in Construction Management, Engineering, Business Administration, or a related field.
• At least 8 -10 years of experience in contract management in construction industry, including experience with large-scale projects.
• Legal knowledge and experience with contracts are preferred
• Good in presentation and negotiation skills.
