As an M&A VP at Toll, you will play a pivotal role in shaping the company's future by participating in live deal execution and post merger integration projects. You will work closely with a team of experienced professionals, gaining exposure to a diverse range of industries and a deep understanding of the M&A process. PRIMARY RESPONSIBILITIES AND OUTPUTS

Due Diligence and Risk Assessment:

Lead due diligence efforts by coordinating cross-functional teams, including legal, financial, and operational experts.

Analyze and evaluate potential risks and opportunities associated with target companies.

Prepare comprehensive due diligence reports and present findings to senior management.

Ensure compliance with all legal and regulatory requirements.

Deal Execution:

Lead due diligence efforts, coordinating cross-functional teams including legal, finance, and operations.

Develop and execute detailed project plans for each transaction, ensuring timelines are met.

Collaborate with external advisors and negotiate deal terms and contracts.

Integration Planning:

Assist in post-merger integration planning and execution.

Manage the integration process post-acquisition, working closely with relevant stakeholders.

Drive synergy realization and operational improvements.

PRE-REQUISITES:

• Proven track record of successfully executing M&A transactions.
• 6-8 years of professional execution experience at a bulge bracket, reputable boutique or corporate finance advisory firm/Big 4 with demonstrable M&A execution experience
• Excellent project management capabilities and attention to detail.
• Ability to navigate complex situations and work collaboratively in a team-oriented environment.
• Self-motivated, with a strong work ethic and a drive for success.

Responsibilities:

• Understanding of import & export stature requirement for local & oversea markets.
• Executing, direction and coordinate as required for all transportation matters within organisation, vendors & customers
• Planning, monitoring and controlling transportation activities include budgets, schedules & routes for incoming, outgoing and transfer of goods for the organisation.
• Assuring and seeking to improve customer satisfaction and feedback through consistent customer interaction, e.g., communication, (phone, e-mail, etc.) and customer meetings, kick off, review, etc.
• Arranging vendors on resources for all local activities on deliverable include stuffing/unstuffing of goods, allocation of containers and import & export clearance documentations
• Managing forwarder & counterparts on processes and documentation for smooth deliveries
• Working proactively to set customer expectation to assure acceptance of timely deliverables even under challenging circumstances
• Identifying and sharing lessons learned to be recorded.

Requirements:

• Bachelor Degree / Diploma with minimum 2 years’ of experience managing Logistics & Operation activities.
• Experience with Logistic deliverable of different size, complexity and contractual types.
• Submission of all required logistic documentation & understand incoterm.
• Working knowledge in SAP is an added advantage.
• A strong focus on safe work practices and dedication to following all relevant workplace safety guidelines.
• A collaborative, solution-focused approach and strong written and spoken communication skills.

Job Responsibilities:

• Handle full sets of accounts (AP, AR,GL and Assets).
• Prepare Month-end closing, band & Cash and accounts reconciliation.
• Reconcile with general ledger control figures.
• Prepare Journals, entries, closing monthly reporting.
• Responsible for filing and timely processing of accounting entries.
• Processing of payments to suppliers - local & overseas including taxes and other statutory payments.
• Prepare and submit tax return / GST return.
• Handle staff expenses claim
• Check bank balances and prepare cash position reports.
• Other ad-hoc accounting duties as and when required.
• Patent application submission and management follow up.
• Monitor Vehicle Parking Certificate for heavy vehicle
• Monitor Vehicle inspection date for Road Tax renewal
• Monitor insurance for all the company vehicles
• Other General admin duties.

Requirements:

• Knowledge in Microsoft Excel, MS Office
• Process effective organizational and follow-up skills, paying attention to detail.
• Demonstrate ability to handle work professionally, independently, and efficiently.
• Good interpersonal skills and able to interface with all levels, internally and externally, in a professional and responsive manner.
• Diploma in Accountancy or equivalent
