The role
We are looking for a Senior Legal Counsel based in Singapore who will be responsible for providing legal support and advice across group corporate head office functions including Tax, Treasury, HR, Finance and Strategy & Transformation. You will report to the Chief Legal Officer and your role will include reviewing, drafting and advising on a range of commercial agreements for the various functions, financing arrangements, corporate restructuring arrangements, strategy and M&A matters, data protection and privacy matters and company secretarial and governance issues.
As a Senior Legal Counsel, you will be responsible for:
- Providing quality and timely legal support to the various functions under the direction of the Chief Legal Officer
- Working autonomously, accepting and actively managing multiple matters with competing deadlines and complexity
- Autonomously reviewing, negotiating and drafting bespoke contracts, in line with Toll’s preferred positions
- Actively supporting and implement the strategic initiatives and processes outlined by the Chief Legal Officer to drive the achievement of objectives for the Group Corporate
- Actively supporting and working closely with the various business units within Corporate Head Office division to delivery key strategic initiatives. Ensuring corporate governance rules and processes are complied with
- Maintain current knowledge of alterations in legislation
About you
To be successful in this role, you will need:
- Top academic credentials with a LLB and LLM from reputable universities
- To be a qualified lawyer in UK, Singapore and Australia (Victoria). International legal experience from Singapore, Australia and other Asian jurisdiction
- 13+ years of post-qualification legal experience with legal experience at a top-tier international law firm in Singapore and Melbourne focusing on M&A and corporate matters, and in-house legal experience in transport and logistics sector for a company operating a global business
- Relevant experience on cross-border transactions and projects. Demonstrated experience advising clients on a wide range of subject matters, corporate and commercial, including experience with structuring and executing a wide variety of mergers and acquisitions, disposals, joint ventures and other corporate transactions
- Solid experience in contract drafting and corporate law. Excellent legal, analytical, drafting and negotiation skills
- Ability to travel to Melbourne on a regular basis
- Fluency in English and Chinese ( to manage the Regional stakeholders includes China)
