Job Desccriptions:
- Provide guidance to the Board on roles, responsibilities, and statutory corporate governance requirements.
- Offer legal advice on governance matters and address potential litigation issues.
- Conduct research and promptly respond to Board inquiries to facilitate informed contributions during meetings.
- Offer recommendations on budget allocations to ensure adequate resources for fulfilling fiduciary duties.
- Collaborate with relevant Chairpersons to define meeting agendas for Board and Sub-Committee meetings.
- Ensure the accuracy of minutes taken at various meetings and prepare Sub-Committee agendas.
- Organize and actively participate in Board meetings, AGMs, EGMs, and other statutory gatherings.
- Ensure timely filing of statutory documents and coordinate various Board events.
- Safeguard critical documents and ensure the School's compliance with relevant regulations.
- Stay abreast of legal requirements and oversee the registration and de-registration processes for Board members.
- Assist in board-related applications and provide support to the School in matters of compliance.:
- Aid the Board in implementing effective corporate governance practices within the School.
- Develop and review policies, serving as a liaison between Management and the Board.
- Monitor governance developments and customize practices to align with Board expectations.
- Collaborate with the Board Development Sub-committee to design effective onboarding processes.
Requirements:
- Hold a bachelor's degree in business administration, Law, or a related field.
- Possess a Chartered Secretary qualification with a minimum of 8 years of experience in Corporate Governance & Secretariat.
- Demonstrate excellent knowledge of Singapore laws and corporate governance principles.
- Showcase Board Secretary skills, including adept administration and record-keeping abilities.
- Exhibit the capability to work independently, manage confidential information, and handle multiple tasks efficiently.
- A good command of the German language (level B1) is considered advantageous.
- Possess excellent communication, intercultural, and social skills.
