Responsibilities:
- Required to manage a full spectrum of corporate secretarial work for the group, including coordination and facilitating quarterly board meetings, minutes writing and resolution, and providing advice and support to board members.
- Convening and servicing Annual General Meeting, producing agendas and recording of the proceedings.
- Ensure that the statutory records of a group of companies in Singapore are updated and maintained on time.
- Administrate an online board portal for conducting meetings for Board members and organise director training, where appropriate.
- Act as SGX authorised user/representative, prepare and release SGX announcements, and submit required documents to SGX RegCo.
- Maintain Group Secretary profile with the Accounting and Corporate Regulatory Authority and perform lodgements on BizFile+.
- Coordinate with various parties on producing the Annual Report and Sustainability Report, including drafting, where necessary.
- Manage, update and maintain the Company’s corporate website.
- Liaise with corporate service providers, auditors, lawyers, joint venture partners and other external parties
- Support Management and Board members in all aspects of corporate secretarial and compliance and handle ad-hoc projects assigned from time to time.
Requirements:
- Possess a Bachelor's Degree in a related field and an Institute of Chartered Secretaries and Administrators (ICSA) qualification.
- At least 8 years of experience managing corporate secretarial matters in a listed entity.
- Good knowledge of the Singapore Companies Act 1967 and SGX Listing Rules.
- Bilingual with strong written and verbal communication skills.
