Legal Counsel - Capital Markets

The position

Global Capital Markets is dedicated to the administration of loans, project finance, securitization, escrow, covered bonds, property trusts and REITs. We provide corporate trustee and agency as well as SPV administration services to the international capital markets in the capacity of trustee, security agent, paying agent, escrow agent, facility agent and corporate services provider.

In general, we are responsible for managing orphan SPVs, escrows, bonds, loans as well as restructuring of distressed debt. We interact closely with capital providers (funds, banks, family offices etc), lawyers and financial advisers and review and agree documentation. Each situation is unique and requires sound knowledge of the capital markets.

Some of the things you’ll be doing:

You will be responsible for deal execution and documentation review in accordance with agreed procedures and policies. This includes providing comments on structure, mechanics and operational aspects of the transaction, guiding and recommending appropriate solutions to clients by liaising with both internal and external parties including all business partners and commercial teams within the organization.

Responsibilities

· Review and negotiate terms in transaction documents for complex and structured deals.

· Ensure that the description of roles and services in transaction documents are consistent with appointment.

· Assess the deal structure to ensure operational and administration feasibility and identify areas to flag up internally for clearance or highlight to servicing team.

· Follow up on receiving original documents and cd bible, perfection of charges & receipt of security documents registered with registrar of companies.

· Liaison with issuers, borrowers, bondholders, lenders to deal with establishment of orphan SPVs, documentation amendments, waivers, consent solicitation and restructurings.

· For loan drawdowns, ensure fulfillment of conditions precedent and receiving such confirmations from lenders’ counsel. Responsible for the follow-up of conditions subsequent with counsel and lead all lenders' call where appropriate eg. where interpretation of documents required to advise parties.

· Relationship management and development with both internal and external clients, and all major shared services such as operations, legal, compliance and tax for ongoing transaction management purposes.

· Providing guidance and supervision to other team members on legal documentation, transaction structure and mechanics.

· Ensure the adherence of internal control procedures and seamless ongoing administration of deals.

· Assist the Head of Capital Markets to formulate and implement procedures and policies in relation to operational efficiency and quality of service delivery.

· Work with internal parties locally and globally on projects and new products rollout.

· Assist with the preparation of management reports and handling of control / compliance matters in accordance with the internal and regulatory requirements.

What technical skills, experience, and qualifications do you need?

· A minimum of 7-10 years’ experience in banking or corporate trust experience highly preferred. Candidates with strong legal and transaction management experience in capital markets will be highly regarded.

· Very strong analytical and problem-solving skills with sound knowledge of SPV administration and corporate services.

· Details oriented, diligent, strong team-player and ability to work independently. Accomplished in producing results and solving problems under pressure to meet aggressive deadlines.

· Strong interpersonal and negotiation skills.

· Leadership and organizational skills are required to manage the portfolio of deals and to develop the skills of team members.

· Excellent written and verbal communication skills (English and Chinese).
