This role shall support the General Counsel and our rapidly growing and evolving businesses in the Asia- Pacific region. You should be comfortable working in a fast-paced environment with broad, generalist responsibilities, but with specialist knowledge of commercial and regulatory matters pertaining to the power generation sector (renewable energy).
You will be responsible for advising the business in the Asia-Pacific region by giving pro-active, professional, competent, cost-effective and creative legal support to business units and corporate enabler functions. This includes Australian transactions, cross-border energy projects in ASEAN, PPA-related negotiations and matters as may be assigned to you from time to time. You may also be required to take the lead on M&A transactions, but working together with the inhouse M&A legal team. You will need to bring negotiation and drafting skills and business sense to deal with multiple functional teams in a rapidly scaling business.
You will work closely with local business leaders (Business Development, Corporate Finance, Project Finance and Construction) as well as with supporting functions (Finance, Admin, Accounting & HR), by advising them on legal risks, business strategies and other issues related to the Company’s businesses.
- Lead and oversee M&A transactions, joint ventures and asset rotation transactions, all in an international context and in accordance with the policies and guidelines of the EDP Group
- Collaborate closely with internal stakeholders including, among others, Investments M&A, tax, consolidation, accounting, Business Development, finance, technical team and People & Organisation, as may be necessary
- Manage and supervise external counsels on various legal matters as and when required
- Conduct and/or coordinate legal due diligences and provide analysis and counsel on project related issues and assessment on the structure for M&A transactions
- Anticipate, identify and assess critical project risk issues and/or structuring risks of M&A transactions across multiple jurisdictions, provide strategies, business driven solutions, suggestions and/or recommendations to the relevant stakeholders in order to mitigate the risks identified and assist the Investments M&A team in preparing the investment memorandum from a legal perspective
- Review, draft, and negotiate a broad range of transaction documents such as asset purchase agreements, share purchase and sale agreements, capital contribution agreements, joint venture agreements and shareholder agreements in an international context
- Review, draft, and negotiate ancillary agreements such as LOIs, non-binding offers, confidentiality agreements, services agreements, assignment agreements, amendments and termination agreements
- Drive and oversee the signing and closing of M&A transactions, as well as monitor and manage the compliance of legal requirements in accordance with applicable laws and timely fulfilment of agreed terms under the transactional documents by the relevant teams within the organisation
- Provide guidance and oversight to the relevant teams on market entry (incorporation of new companies, summaries of corporate or project development law requirements, etc.) and exits
- Undertake and/or manage necessary corporate governance work including preparation of resolutions and certificates, powers of attorney, etc. for the purposes of executing M&A transactions
- Coordinate efforts with the legal and business teams regarding corporate and project requirements to support the wider needs of the organisation and ensure maximum value and appropriate risk management for EDPR and its shareholders
Main responsibilities will cover a variety of legal issues concerning our renewable energy activities in Asia-Pacific region. Amongst others, the following responsibilities apply to this position:
- Providing legal advice and support on a wide range of legal activities, including projects and transactions arising from Australia and ASEAN cross-border matters.
- Advising on renewable energy/power generation regulatory framework with a proper understanding of the main terms and conditions of tender documents, bidding requirements, consortium/ MOU/MOC agreements with partners to participate in tenders, project financing agreements, power purchase agreements (PPA) and other typical contracts/ agreements not limited to internationally used by the renewable energy industry.
- Drafting and negotiating contracts related to renewable energy power generation projects, non-disclosure agreements, sales and purchase agreements, energy performance contracts, commission framework agreements, engineering procurement contracts, joint venture agreements, acquisition related documents, power of attorney and corporate guarantees.
- Advising on general business law issues and managing the legal issues of all areas of the company, including but not limited to corporate matters, employment, procurement, safety, security, insurance and sustainability issues.
- Manage relationships with stakeholders (law firms, union representatives) to understand business requirements and develop appropriate solutions, contributing to business decision making and ensuring legal compliance
Requirements:
- Degree in Law from a reputable university
- Admitted to the Singapore Bar. Candidates admitted to practice in other commonwealth jurisdictions will also be considered.
- A minimum of ten years working experience post-qualification.
- Work experience in a leading law firm, a multi-national company or government agency would be an advantage.
- Ability to work successfully in a dynamic team environment
- Strong analytical, negotiation, and problem-solving ability

- Relevant experience in one or more of the following areas: Mergers & Acquisitions, General Corporate or Corporate Finance.
- Cross-border work experience. ·
- Solid knowledge of general business law issues of an independent power producer, including regulatory framework.
