Job Description:

We are looking for a Cap Table Manager with a strong legal background to oversee our capitalization table and ensure compliance with legal and regulatory requirements. The ideal candidate will have in-depth knowledge of securities law, equity structures, and tax implications related to equity transactions. This role is integral to maintaining accurate and legally compliant records of all company securities and ensuring transparent communication with investors and stakeholders.


Key Responsibilities:

1. Maintaining Accurate Records:

- Ensure the capitalization table is accurate and up to date.

- Track ownership percentages, equity dilution, and the value of equity across various investment rounds.

- Regularly update records to reflect changes due to new investments, stock revaluations, or other factors.

2. Managing Equity Transactions:

- Oversee all equity-related transactions, including issuing new shares, transferring shares, and exercising stock options.

- Administer equity grants and ensure proper documentation and compliance.

- Coordinate with legal and finance departments for transaction execution and record-keeping.

3. Compliance and Reporting:

- Ensure compliance with tax laws, securities regulations, and other legal requirements.

- Prepare and present regular reports for management and investors on equity and capitalization matters.

- Stay updated with relevant laws and regulations to avoid legal risks.

4. Investor Relations:

- Act as a liaison between the company and its investors.

- Provide investors with regular updates on their holdings.

- Address investor queries regarding equity matters in a timely and clear manner.

5. Scenario Analysis and Modeling:

- Conduct financial modeling for various scenarios such as funding rounds or exits to assess their impact on ownership and dilution.

- Provide insights and recommendations based on these analyses to support strategic decisions.

6. Collaboration with Other Departments:

- Work closely with legal, finance, and HR departments.

- Coordinate on matters related to employee stock ownership plans (ESOPs) and fundraising activities.

- Ensure seamless integration of equity-related decisions with overall company strategy and operations.

7. Educating Stakeholders:

- Educate founders, board members, and employees about equity-related matters.

- Ensure stakeholders understand the implications of equity decisions on their positions and the company.


Qualifications:

Bachelor’s degree in Law, Finance, or related field; JD preferred.

Experience in cap table management with a strong focus on legal compliance.

Extensive knowledge of securities law, corporate finance, and tax implications of equity transactions.

Proficiency in legal research and understanding complex legal documents.

Excellent communication skills, with the ability to explain legal concepts to non-legal stakeholders.

Familiarity with equity management software and tools.

Proficiency in cap table management software and MS Office Suite.
