It comprises Transaction Legal which supports the GM, IB and International Wealth Management businesses along with the Corporate Legal Department which includes general corporate, IT and Real Estate, employment, data privacy and litigation and investigations. The Legal team is part of the Legal, Compliance and Controls department in the Corporate Division of the Nomura organization. Role description: Senior level (15 plus years PQE) role within Asia ex-Japan Legal providing legal support to the Global Markets (GM) and Investment Banking Division (IB) of Nomura in Singapore. In performing such role, the candidate will provide leadership to the transaction legal team in Singapore, and work as part of, a broader team of transaction lawyers across the Asia ex Japan region supporting the GM and IB businesses and also work closely with (i) other members of the Asia Legal team, including product specialist lawyers and subject matter specialist lawyers, (ii) Compliance team members, the New Business Group, internal Risk teams and other corporate functions, and (iii) external legal counsel and other external counterparties. Responsibilities: • Provide leadership and management support to Singapore-based transaction legal team membe • Engagement with and advice to senior stakeholders in Singapore including the GM management team, Singapore country management and senior corporate stakeholders in Singapore including in Risk, Finance and other functions. • Provide support to the GM and IB business teams on legal, regulatory and reputational risk aspects of the business (working in conjunction with other corporate colleagues). • Analyze relevant issues and seek alternatives to mitigate risk through appropriate legal documentation, transaction structures or otherwise. • Draft, review, and negotiate a variety of legal documentation (including mandate letters, NDAs and standard transactional documents) for the engagement, origination and closing of transactions. • Work closely with the GM, IB and other corporate colleagues to ensure that relevant legal, regulatory and reputational risks are escalated to senior management for consideration and approval. • Supervise external legal counsel and control the quality/cost thereof. • Participate in internal committees and discussions relating to the GM and IB businesses, including in relation to specific transactions and new products or structures.
