Job Description
- Handle the full scope of company secretarial matters independently for portfolio of Singapore Private Companies and Variable Capital Company (VCC) - 50+ entities in Singapore
- Oversee the fund's corporate governance structure, ensuring that constitutional documents and governance policies are maintained and updated as necessary
- Lead the preparation and submission of regulatory reports and filings as per regulatory requirements (e.g. IRAS, ACRA, MAS, FATCA and CRS)
- Handling of incorporation of companies with ACRA, registration of foreign companies etc
- Preparing and filing of notifications with ACRA
- Compliance with the provisions set out in the Companies Act and VCC Act, Statutory Reporting / Filing and Corporate Governance Stay up-to-date with evolving regulatory requirements and ensure the fund's activities comply with all relevant laws and regulations
- Coordinate and manage board and executive/investment/other committee meetings, including agendas preparation and planning, meeting packs, follow-up actions and minutes-taking
- Co-ordinating and arranging due diligence documents for counterparty due diligence
- Ensure compliance with the statutory reporting requirements of the Companies Act, Listing Rules, and Code of Corporate Governance
The Successful Applicant
- Bachelor's degree in business, finance, law, or a related field
- Chartered Secretary professional certifications such as ICSA/SAICSA/ACIS is necessary
- Over 10 years of experience and of which 3 years in an in-house role as Corporate Secretarial Officer and/or Chartered Secretary
- Knowledge of VCC or offshore fund structures, regulations, and corporate governance best practices
- Strong understanding of legal and regulatory compliance in the financial services industry
- Ability to work with multiple internal and external stakeholders; including senior personnels
