The successful candidate for this role will be reporting to the Associate Director of Corporate Secretarial Services based in Singapore. This role requires you to work independently and serve as the main contact for our clients. You will be tasked with delivering a diverse range of corporate secretarial services to a varied client portfolio in Singapore.
Your main responsibilities will include:
- Overseeing the formation and day-to-day operations of a portfolio of Singapore based companies and off-shore entities such as BVI, Cayman
- Collaborating with legal representatives, clients, and internal teams on the onboarding process, client due diligence, and risk assessment for both new and existing clients.
- Assisting in the review of corporate governance and transaction-related documents and resolutions, ensuring statutory filings are completed on time, maintaining statutory records, and coordinating the timely signing of documents.
- Identifying and managing the obligations and responsibilities of Singapore companies and their directors to clients in line with best practices and regulatory guidelines.
- Gaining a detailed understanding of transactions and specific obligations under transaction documents, managing adherence to these obligations, and providing guidance to directors and other team members.
- Assisting with the preparation and distribution of notices and minutes for board and/or shareholders' meetings.
- Liaising with accountants, auditors, and external third parties as required on matters related to Singapore companies.
- Managing the production of client invoices in accordance with agreed fee quotes and overseeing the cash collection process.
- Building and maintaining strong relationships with clients and intermediaries, including lawyers, arrangers, agents, security trustees, custodians, and other transaction parties.
- Undertaking project work or initiatives as identified and designated by your direct Manager.
The ideal candidate should possess:
- At least 6 years of experience in the corporate secretarial and finance industry.
- Knowledge of Corporate Secretaryship for jurisdictions like Singapore, Cayman, and BVI.
- An excellent academic background and practical experience, supported by a relevant professional qualification such as CSIS.
- Excellent written and verbal communication skills.
- Strong working knowledge of Viewpoint would be an advantage.
