Position Overview
General Counsel/Company Secretary cum Head of Corporate Governance Services Team provides legal guidance, strategic advice, and ensure compliance with corporate governance and regulatory requirements. This position combines legal expertise with corporate governance responsibilities to support the company's overall operations and safeguard its legal interests.
Responsibilities
1. Legal Counsel and Advice
- Provide comprehensive legal counsel and guidance to the company's executive team, board of directors, and various departments.
- Conducting legal research, analyzing complex issues, and offering practical advice to mitigate legal risks.
- Draft, review, and negotiate contracts, agreements, and legal documents to safeguard the company's interests and ensure compliance with applicable laws.
- Advise on corporate transactions such as mergers and acquisitions, joint ventures, and strategic partnerships.
2. Corporate Governance
- Oversee corporate governance compliance and regulations, ensuring adherence to requirements.
- Organizing board meetings, preparing agendas, drafting resolutions and minutes, and maintaining corporate records to meet statutory obligations.
- Advise on best corporate governance practices and implement policies and procedures accordingly
3. Regulatory Compliance
- Track legal and regulatory changes affecting company's operations, providing guidance on their implications and necessary actions.
- Develop and implement compliance programs and policies to ensure adherence to laws.
- Conduct internal investigations and audits to address compliance issues.
- Collaborate with external Counsel and regulatory authorities as necessary.
4. Internal Control and Risk Management
- Identify and evaluate legal risks across the organization and devising strategies to minimise those risks.
- Provide guidance on legal matters related to intellectual property, data privacy, employment, litigation, and other legal areas of concern.
- Develop and implement legal compliance training programs for employees.
5. Stakeholder Management
- Serve as a liaison between the company, external legal counsel, regulatory authorities, and stakeholders.
- Cultivate relationships with external partners, law firms, government agencies, and industry associations.
- Communicate legal and compliance issues clearly to internal stakeholders.
Qualifications and Skills
· A Degree in law or equivalent from a reputable law school, admitted to the bar association and/or licensed to practice law in the relevant jurisdictions, such as China, Hong Kong or Singapore. Extensive relevant experience (10+ years) with management experience (7+years), preferably in a multinational company or a top-tier law firm.
· Strong knowledge of corporate law, business law, corporate governance, and regulatory compliance in various jurisdictions, such as China, Hong Kong and Singapore and familiarity with HK Listing Rules, international business laws and cross-border transactions. Strong knowledge of financial matters and industrial business practice is preferred.
· Excellent analytical, problem-solving, and decision-making skills, exceptional communication and interpersonal skills to collaborate with stakeholders at all levels.
· Ability to work in a fast-paced, dynamic environment and manage multiple priorities, strong leadership capabilities and the ability to provide strategic legal and management advice
· Ability to speak and write in Business Chinese as the job requires dealings with Chinese speaking Associates and overseas Management team.
