Job Description
- As a member of the BW Legal Centre of Excellence, provide legal support to all areas of the Group’s business, including acquisitions, joint ventures, financing, procurement and corporate matters, with a particular focus on the provision of legal advice in connection with the BW Water business.
- Review, draft and negotiate a wide range of legal documentation and commercial agreements, including commercial contracts, term sheets, sale and purchase agreements, procurement and constructions contracts, and shareholder agreements.
- Manage dispute resolution matters (litigation, arbitration and mediation).
- Advise on regulatory and compliance issues, including anti-trust, sanctions, anti-bribery, data protection, human rights and environmental matters.
- Research and prepare opinions on matters of law.
- Conduct due diligence on investment opportunities.
- Develop and foster excellent relationships with peers and stakeholders, in particular with the leadership team of BW Water as that business expands its operations.
- Liaise and work collaboratively within the Legal, Insurance and Corporate Secretarial teams.
- Advise on and monitor corporate governance practices and legal developments.
- Participate in ad hoc projects, as required.
- Advise on the selection of, and instruct and manage, external counsel.
Qualification
- Qualified lawyer with at least 5 years of experience in Singapore, England & Wales, USA or another common law jurisdiction.
- Experience gained at an international law firm and/or as in-house counsel for a multinational organisation.
- Experience of engineering contracts and project documents, in particular in the water and wastewater industries is advantageous but not required.
- Sound working knowledge of general corporate, commercial and contract law.
- Versatile with good technical skills and a commercially focused and practical attitude towards problem-solving.
