JOB DESCRIPTION
Working as part of the corporate secretariat team with focus on providing corporate secretarial support to the business units under Keppel’s Fund Management & Investment platforms.
Key responsibilities include:
- Providing corporate secretarial support for corporate transactions such as M&As, joint ventures and financing including setting up of local and foreign entities, incorporation matters and due diligence related requirements
- Preparation of resolutions; obtaining signatories and updating board meeting papers, arranging board, board committees and shareholders’ meetings
- Compliance with relevant company legislations and regulations
- Updating and maintaining corporate secretarial database and statutory records
- Incorporating and managing local and overseas companies and providing necessary corporate information to directors and management
- Liaising with various auditors, corporate secretarial agents and other service provides within Singapore and offshore/overseas jurisdictions for periodic and ad-hoc matters
- For listed companies, drafting and preparing SGXNet announcements for Company Secretary’s review and assisting to release SGXNet announcements
- For listed companies, assisting the Company Secretary in preparation of information for Annual Report (Corporate Information, Directors Information, Corporate Governance Report, Notice of AGM, Proxy Form & Shareholders Information); and handling and liaising assigned projects when required; and
- Assisting with ancillary administrative matters including processing and preparation of invoices from corporate secretarial service providers
JOB REQUIREMENTS
- At least 1 year of working experience in corporate secretarial matters
