Head of Legal and Risk

Role

The Head of Legal and Risk will work closely with and assist the Managing Director to lead all legal and Risk as well as Compliance matters within the Company, contributing to the promotion and development of a compliance culture within the Company. The role is expected to evolve with the needs of the business. The Head of Legal and Risk is expected to be a self-starter and be able to work independently on usual operational tasks while pushing ahead with improvement initiatives. The Head of Legal and Risk reports to the Managing Director.

Job scope:

1. General

a) To provide legal support to various business units and departments.

b) To ensure all documents comply with the laws of the country.

c) To assist in drafting/review internal and external contracts and documentation, and to advise the Company and management on their legal rights and obligations in order to protect the interest of the Company.

d) Act as a central point of contact for MAS, Singapore regulatory issues.

e) Oversee and ensure legal, risk and regulatory compliance.

f) Monitor sanctions developments and their impact on the business.

g) Lead or participate in legal and risk, compliance review covering key aspects of the Company’s operations to ensure adherence to the Group’s policies, operating procedures and regulatory requirements.

h) Implement and conduct regular legal and risk, compliance training programs on an ongoing basis to educate staff on the relevant regulatory developments, compliance policies and procedures.

i) Formulate the legal and risk, compliance and governance strategies.

j) Conduct diligent research into legal issues and recommend revisions as needed across a range of legal documents and agreements.

k) Work closely with stakeholders on non-disclosure, PDPA, agreements and other contracts, etc.

l) Perform evaluations on legal and risk as well as compliance activities, present and report non-compliance and risk issue findings to the management.

2. Specific

A. Risk Management

- Be part of the executive committee in reviewing new business and exiting business of the Company and its related companies.

- To assess, advise and monitor the risk management of the business.

B. Operation Processes

- Work with the COO and the management in updating, upgrading and expanding the operation processes of the overall business, covering legal and risk for the different business lines such as:

· Trust

· Corporate Services

· Fund Administration Services

C. Data Protection Officer

- Be the appointed Data Protection Officer of the Company and its related companies in Singapore.

- Review, update and monitor the implementation of the Company’s Data Protection Policies and Procedures.

D. Insurance Coverage and Terms and Conditions

- To assist Management in reviewing the Terms and Coverage of Insurance, including Professional Indemnity, Directors & Officers Liabilities, plus Cyber Insurance.

- If there is any potential client’s issue, to assess the seriousness of the situation – on any potential claim.

3. The Head of Legal and Risk will also oversee the Compliance Department and will work closely with the team pertaining to compliance matters, implementation, and maintain the group compliance programme.
