A vacancy has arisen for a lawyer or experienced master agreement negotiator to join the Master Agreement Advisory team in Singapore which is part of the Global Legal Documentation division within Legal reporting to the Global Head of Documentation and the Head of APAC Sales and Trading Legal.
The role will involve drafting documentation, negotiating with counterparties, and advising with respect to law and regulation. The lawyer or experienced negotiator will play an active role in helping the business manage legal, regulatory and reputational risk as well as facilitating new business for the bank and achieving risk weighted asset benefits.

Your key responsibilities:
- Draft and negotiate a variety of master agreements and ancillary documentation, including but not limited to ISDAs, CSAs, GMRAs, GMSLAs and cleared derivatives documentation with external clients from a wide range of jurisdictions;
- Provide master agreement legal advisory support to the global legal documentation team;
- Assist with complex negotiations, escalations and priority client relationships from the business pipelines to ensure that these matters are handled appropriately and escalations are addressed in a timely manner;
- Support the Sales & Trading businesses and other key stakeholders with ad hoc legal queries on new or existing master agreement arrangements;
- Management and oversight of one team member locally;
- Liaise with and provide legal guidance and advice on DB policy to key internal stakeholders such as Credit, Collateral Management, Derivatives Funding, Treasury, Group Tax and the relevant business line, to resolve any negotiation points or opine on existing arrangements;
- Support the internal netting process through contract reviews, opinion reviews and submission of legal summaries for approval to relevant internal committee;
- Conduct due diligence through review of relevant constitutional documents relating to capacity/authority of counterparty, including instructing external counsel if needed;
- Assist with master agreement development work, such as DB templates, clause library, updating user guides and policy changes;
- Support regulatory outreaches or re-documentation projects where master agreements are impacted (recent examples include IBOR and Uncleared Margin IM Phases V and VI).
- Ad hoc legal projects.
Your skills and experience:
- Qualified as a lawyer, solicitor, barrister, or equivalent in any jurisdiction with 5+ years master agreement experience.
- Experience of drafting, negotiating and advising on master agreements such ISDA, GMRA, GMSLA and cleared derivatives documentation in either private practice or in-house.
- Conduct analysis of enforceability of netting or collateral across APAC and/or English jurisdictions, agreement types and counterparty types through review of legal opinions and internal netting approvals.
- Proven working experience in analyzing and advising on legal opinions relating to master agreements, particularly relating to the enforceability of netting and collateral.
- Proven track record in working with a high volume of complex legal documentation under significant time pressure.
Role is required to be performed on-site at One Raffles Quay office. Relevant vaccination requirements may apply.
