- Minimum ICSA qualified Chartered Secretary or holds an LLB degree or equivalent with min of 7 to 10 years corporate secretarial experience.

Our client is an established investment management firm which invests in infrastructure projects across the region. It is seeking for an experienced Corp Sec professional with a minimum of 7 years of corporate secretarial exp to join its Legal & Compliance team based in its regional HQ in Singapore.
Reporting to the Head of Legal, you will be a key member of Asia Legal team. This co has over 60 subsidiary companies across the South Asia and Southeast Asian region. We are looking for an experienced yet hands-on corporate secretarial professional as this role will not manage staff internally (but will with external service providers). For this role, you will work closely with external corp sec firms in the overseas office.
Role and responsibilities
Corporate Secretariat and Company Entity Governance
- Acting as the focal point between internal various functions (Legal, Finance, Business Development, Investment and others) and the external corporate secretarial service providers (in Singapore and other jurisdictions) on all corporate secretarial matters for the group companies;
- Acting as registered company secretary with ACRA for the Singapore registered group companies and manage ACRA filings;
- Organise and attend governance meetings for the group companies (committees, board and shareholders), take minutes and ensure timely and accurate record keeping.
- Manage external company secretaries (Singapore and other jurisdiction) to ensure the external company secretaries complying with PDA policies;
- Reviewing, vetting, organising and filing of corporate resolutions and authorities in accordance with the appropriate delegation authorities;
- Provide corporate secretariat advice for group companies;
- Managing corporate secretarial relevant budgets and expenditure in accordance with the applicable policies and procedures.
- Provide training to junior staff and relevant corporate secretarial update to all co’s functions.
Policies, Processes and Procedures
- Develop, review, and continually improve corporate entity and company secretariat processes and procedures.
- Apply an active, ethical, and corporate compliance mindset to monitor and assess corporate authorisations, due process and record keeping.
Corporate Support
- Act in all circumstances as an ambassador of the holding co and the co itself, displaying and demonstrating the highest ethical and moral standards.
Qualifications and education requirements
- Minimum ICSA (Institute of Chartered Secretaries and Administrators) qualified Chartered Secretary with at least 7 to 10 years relevant working experience.
- Singapore ACRA registered qualified individual to act as company secretary mandatory.
- Possess regional experience besides Singapore. Relevant regional exposure covering some (not all) of these countries such as SEA, India, Pakistan, Bangladesh etc would be relevant
- Open to strong and experienced corporate secretarial professionals now working with corp sec service provider firms with good regional experience.
- Able to operate in an international MNC environment with good stakeholder management skills dealing with external vendors and internal colleagues (finance/investment/business development)
Skills and Experience
- Strong hands-on demonstrated and relevant experience in group corporate secretarial and corporate entity management, particularly within cross-border investment environment will be a strong plus;
- Demonstrated experience, both in Singapore and overseas jurisdictions in initiating/leading/managing establishment and operationalization of a centralized group corporate secretariat function.
- Experienced in drafting corporate resolutions and reviewing of documentation to ensure alignment with the relevant governance framework;
- Ability to thrive in a team environment, learn and contribute to improve the business and filing and administration processes;
- Stay updated on relevant statutory and regulatory developments and changes;
- Open to experienced corporate secretary professionals from all industries/sectors
- Knowledge of Microsoft Word, Excel, PowerPoint skills;
- Good working level comfort in written and spoken English and ability to communicate across cultures and borders;
- Flexible, open minded, keen to learn with a positive work attitude.
