About the role
Infraco Asia (IAD) is the PIDG project development arm (PDA) providing catalytic leadership capital to share the early stage risks with competent sponsors and co-developers. We provide funding solutions to projects and companies at early stage of the development.
Reporting to the Head of Legal (Asia), the Corporate Secretariat Manager will be a member of the PDA Asia Legal team.
Infraco Asia has over 60 subsidiary companies across the South and Southeast Asian region.
Roles & Resposibilities
Corporate Secretariat and Company Entity Governance
- Acting as the focal point between internal IAD functions (Legal, Finance, Business Development, Investment and others) and the external corporate secretarial service providers (in Singapore and other jurisdictions) on all corporate secretarial matters for the IAD group companies;
- Acting as registered company secretary with ACRA for the Singapore registered group companies and manage ACRA filings;
- Organise and attend governance meetings for the IAD group companies (committees, board and shareholders), take minutes and ensure timely and accurate record keeping.
- Manage external company secretaries (Singapore and other jurisdiction) to ensure the external company secretaries complying with PDA policies;
- Reviewing, vetting, organising and filing of corporate resolutions and authorities in accordance with the appropriate delegation authorities;
- Provide corporate secretariat advice for IAD group companies;
- Managing corporate secretarial relevant budgets and expenditure in accordance with the applicable policies and procedures.
- Provide training to junior staff and relevant corporate secretarial update to all IAD functions.
Policies, Processes and Procedures
- Develop, review and continually improve corporate entity and company secretariat processes and procedures;
- Apply an active, ethical and corporate compliance mindset to monitor and assess corporate authorisations, due process and record keeping.
Corporate Support
- Act in all circumstances as an ambassador of PIDG and InfraCo Asia, displaying and demonstrating the highest ethical and moral standards.
Qualifications and education requirements
- Minimum ICSA (Institute of Chartered Secretaries and Administrators) qualified Chartered Secretary or holds an LLB degree or equivalent with at least 7 to 10 years relevant working experience;
- Singapore ACRA registered qualified individual to act as company secretary mandatory.
Skills and Experience
- Strong hands-on demonstrated and relevant experience in group corporate secretarial and corporate entity management, particularly within cross-border investment environment will be a strong plus;
- Demonstrated experience, both in Singapore and overseas jurisdiction, in initiating, leading and managing establishment and operationalization of a centralized group corporate secretariat function.
- Experienced in drafting corporate resolutions and reviewing of documentation to ensure alignment with the relevant governance framework;
- Ability to thrive in a team environment, learn and contribute to improve the business and filing and administration processes;
- Stay updated on relevant statutory and regulatory developments and changes;
- Knowledge of Microsoft Word, Excel, PowerPoint skills;
- Good working level comfort in written and spoken English and ability to communicate across cultures and borders;
- Strong appreciation and passion for PIDG and InfraCo Asia’s mandate.
