Role Overview:
Tatung Sustainability Development Holdings (Singapore) Pte Ltd is seeking a driven and detail-oriented Legal Associate to join our team in Singapore. As part of the legal team, you will support various legal functions, ensuring compliance with local and international laws, drafting and reviewing legal documents, and assisting in legal research and corporate governance initiatives.
This role is ideal for a motivated individual who is passionate about corporate law and sustainability, eager to contribute to a fast-paced and dynamic company with operations in Singapore, China, Taiwan, Indonesia, and Europe.
Responsibilities:
- Legal Documentation: Assist in drafting, reviewing, and negotiating a wide range of commercial agreements, including NDAs, contracts, vendor agreements, and partnership agreements.
- Corporate Governance: Support the legal team in corporate secretarial duties, including the preparation of board resolutions, minutes of meetings, and maintaining statutory records.
- Regulatory Compliance: Ensure compliance with local laws, regulations, and company policies across different jurisdictions.
- Legal Research: Conduct legal research to support business functions, including mergers & acquisitions, investment transactions, and corporate governance matters.
- Risk Management: Assist in identifying legal risks and providing solutions to mitigate these risks.
- Litigation Support: Liaise with external legal counsel on litigation matters and manage case files as necessary.
- Contract Management: Maintain and manage the company’s contract database and ensure contracts are regularly reviewed and up-to-date.
- ESG Compliance: Provide legal support on Environmental, Social, and Governance (ESG) matters, ensuring all business operations comply with relevant sustainability regulations.
Requirements:
- Bachelor’s degree in Law (LLB) from a recognized university.
- 1-3 years of experience in corporate law, preferably with exposure to cross-border transactions and corporate governance.
- Knowledge of Singaporean laws and regulations, with an understanding of international corporate practices being an advantage.
- Excellent communication and negotiation skills with the ability to work collaboratively across multiple departments.
- Strong legal research skills and the ability to interpret and apply laws, regulations, and policies.
- Detail-oriented with excellent organizational skills and the ability to manage multiple tasks efficiently.
- Proficiency in Microsoft Office Suite and contract management software.
- Called to the Singapore Bar or admitted as a legal practitioner in a common law jurisdiction is an advantage.
