About the Role:
We are looking for an experienced Senior Legal Counsel, providing comprehensive legal support across various aspects of operations. You will work closely with different departments within the organization, handling a wide range of commercial contracts, project investments, and dispute resolutions, particularly in the energy sector. This is a dynamic role for someone with a solid legal background who thrives in a fast-paced, collaborative environment.
Key Responsibilities:
• Commercial Contracts: Draft, review, and negotiate various commercial contracts, including oil product sale and purchase agreements, charter-party agreements, storage leases, corporate guarantees, letters of intent, multi-party settlements, and supply and logistics agreements.
• Corporate Legal Support: Provide legal support to associated companies, review legal documents, board and shareholders’ resolutions, and assist with by-law amendments.
• Project & Investment Support: Assist in reviewing and negotiating transactional documents related to investments, including NDAs, legal due diligence reports, joint venture agreements, long-term storage agreements, land leases, and liaising with external legal counsel and professional advisers.
• Dispute Resolution: Manage and resolve legal disputes, including demurrage-related cases, and provide regular updates and reports to management.
• Legal Knowledge Sharing: Plan and organize legal knowledge-sharing sessions for company personnel, and assist in drafting and updating contract templates.
• Ad-Hoc Duties: Support the Head of Legal and Compliance with other duties as needed.
Qualifications and Experience:
• Recognized law degree, with admission to the Singapore Bar or a common law jurisdiction preferred.
• Minimum 5 years of post-qualification experience in a reputable law firm or in-house corporate legal counsel role, ideally in the energy sector.
• Strong contract negotiation and drafting skills, particularly in corporate and commercial law.
• Excellent communication and interpersonal skills to engage effectively with stakeholders at all levels.
• Meticulous attention to detail, with the ability to navigate complex legal documents and provide sound legal advice.
• High level of professionalism, ethical standards, and team-oriented work ethic.
• Proficiency in both English and Chinese to communicate with stakeholders and draft/review legal documents in both languages.
