The role is responsible to provide product, jurisdiction, documentation and specific Loan Execution support to the APAC GCIB business. The position will contribute to the revenue target and financial success of MUFG Bank, Ltd in APAC

  • Provide transaction management support and commercial risk management in relation to tailored bilateral, club, syndicated and underwritten loans
  • Structuring, negotiating, review and execution of legal documentation including facility agreements, security documents, fee letters, legal opinions, and other ancillary finance documents
  • Structuring and drafting of term sheets and mandate/engagement documentation
  • Negotiation and ‘ownership’ of loan documentation process including review and driving negotiation from a ‘commercial perspective’ and working with external counsel
  • Co-ordination and leadership of deal team, driving timely execution of transactions
  • Appointment and engagement of external counsel – including negotiation of scope of work.
  • Project management discipline of external law firms and mitigation of law firm fees
  • Loan execution best practice on standardized and regionalized basis, through exposure to volume of transactions
  • Work seamlessly with regional origination and distribution teams to deliver documentation execution and positive outcomes for the Bank and the client
  • Direct client engagement/interaction including leading transaction correspondence with external parties
  • Coordination and management of internal stakeholders/departments such as Agency, Loan Admin etc. and ensuring their requirements are satisfied in advance of funding
  • Advise on and manage respective products transactions originated in APAC, including preparing, reviewing, negotiating and approving the relevant legal documentation
  • Monitor, identify and advise on commercial/legal risks in support of the respective products
  • Monitor and advise on regulatory changes in APAC and work with the Legal and Compliance on the effect of such changes in APAC
  • Maintain databases and records of agreements and related documentation
  • Participate in external and/or internal committee(s)/working group(s) relating to regulatory changes and loans
  • Ensure reasonable measures are taken into account on all cross-entity booking activities and remain aware of and comply with all local regulatory and company requirements
  • Comply with MUFG’s internal risk and compliance requirements, controls, procedures, and trade relating policies.
  • Comply with all legal and regulatory requirements emanating from any of the regulatory authorities to which MUFG is subject to
  • Comply with the requirements of MUFG’s Volcker Compliance Program, including the relevant Volcker Desk Procedures and related permissions
  • Manage and develop relationships with clients (where applicable) with a view to expand the department/unit/international business enhancing the franchise of MUFG

Requirements

  • Minimum Bachelor’s Degree in Law
  • At least 5 years' experience in Global Financial Institutions / International Law Firms
  • At least 5 years’ experience on loan transactions
  • Preferred experience includes (a) deal structuring and experience in negotiating facility documentation (b) obtaining and reviewing collateral and enforceability of opinions in APAC jurisdictions and (c) experience on regulatory matters in Singapore and/or other jurisdictions in Asia
  • Familiarity with Asia, EU and US regulatory change on financial markets
  • Results driven, with a strong sense of accountability
  • The ability to operate with urgency and prioritize work accordingly
  • Strong problem solving and decision making skills, the ability to demonstrate sound judgment
  • The ability to manage large workloads and tight deadlines
  • Excellent attention to detail and accuracy
  • A calm approach, with the ability to perform well in a pressurized environment
