We are looking for a highly skilled and experienced Company Secretary to join our dynamic team. In this role, you will play a crucial part in ensuring compliance with statutory and regulatory requirements. The ideal candidate will possess a proactive, detail-oriented mindset, along with excellent communication and interpersonal skills to effectively manage client relationships and uphold compliance standards.
Key Responsibilities:
· Maintain and update all the statutory books, including registers, and prepare and file statutory returns and forms with the Accounting and Corporate Regulatory Authority (ACRA).
· Organize and facilitate board and shareholder meetings, preparing agendas, minutes, and resolutions. Attend meetings to draft minutes and lodge necessary forms with ACRA promptly.
· Provide legal, financial, and strategic advice during meetings and support the implementation of board decisions.
· Offer strategic guidance to clients on company structuring, compliance requirements, and best practices in corporate governance, fostering strong client relationships.
· Address and resolve client issues promptly to ensure high levels of satisfaction.
· Ensure compliance with all statutory and regulatory requirements for the group companies and clients.
· Acting as a liaison between clients and regulatory authorities to address queries and ensure timely responses.
· Assist in compliance reviews by identifying and assessing risks and oversee the onboarding process for new clients to ensure all documentation is collected and compliance checks are completed.
· Assist the team in managing client billing processes, ensuring timely invoicing and payment collections.
· Regular maintenance of the internal client database.
· Stay informed about changes in legislation, regulations, and industry trends that may impact clients, effectively communicating relevant updates.
· Manage correspondence, reports, and other documents while effectively handling any ad hoc tasks as required and demonstrating the ability to work independently with minimal supervision.
· Handle sensitive information with discretion and maintain confidentiality of corporate records and discussions.
Qualifications:
· Bachelor’s degree in law, Business Administration, or a related field.
· Chartered Secretary qualification (ICSA) or equivalent.
· Minimum of 6 years of experience in a similar role.
· In-depth knowledge of corporate governance and compliance regulations in Singapore.
· Excellent organizational and time-management skills.
· Strong communication and interpersonal skills.
· High level of integrity and professionalism.
Preferred Skills:
· Experience with corporate secretarial software.
· Familiarity with the Companies Act and other relevant legislation.
· Ability to work independently and as part of a team.
· Proficiency in Microsoft Office Suite.
