Responsibilities
• Assist with general meetings, coordinate regular board meetings, and prepare agendas, papers, minutes, and resolutions for these meetings.
• Handle all end-to-end company secretary duties, minutes taking, HQ reporting requirements, and statutory filings, while ensuring compliance with corporate governance requirements and policies.
• Review and negotiate agreements such as NDA, commercial contracts, and supply agreements, with a primary focus on Tech in-bound procurement agreements, ensuring compliance with contract policies while protecting the company's interests.
• Provide legal advice and support on a wide range of commercial matters, including financial services outsourcing and intellectual property.
• Collaborate with internal stakeholders to understand business requirements and objectives, and develop contractual solutions that meet these needs.
Skills/Requirement
• Qualified lawyer with a minimum of 1+ years of post-qualification experience, preferably in-house, with a focus on commercial law and company secretary duties.
• Experience in corporate governance and company secretarial duties.
• Strong understanding of Tech in-bound procurement agreements, with experience negotiating various types of commercial contracts (MSA, MTA, SOWs, Software License Agreement etc).
• Knowledge of APAC and UK financial services outsourcing rules and guidance is highly desirable.
