Your Role 

Aligned to our accelerated growth plan and further diversification of our Climate Infrastructure portfolio, you will have a unique opportunity to play a key role in executing on our innovative strategy. You will ensure that the commercial elements of our investments are effectively identified, negotiated and documented and that legal risk is effectively managed. Together with external advisers, you will oversee all legal aspects of the project development and investment process throughout the entire life cycle including origination, project development, evaluation, due diligence, financing, closing and monitoring. You will be responsible for key documentation including power purchase and fuel supply agreements, financing agreements, construction arrangements and key permits and approvals, and will be involved in internal policies and compliance programs to ensure adherence with external guidelines, governance and regulatory frameworks. 

This role will report to the Head of Climate Infrastructure and will be based in Singapore. 

Your Responsibilities 

  • Provide legal support as relates to new transactions and matters arising from our existing Climate Infrastructure portfolio. 
  • Lead the identification, escalation and mitigation of legal risks associated with our origination and asset management activities as part of the legal work stream. 
  • Assist with the negotiation of a wide range of transactional documents.   
  • Own the relationship with external due diligence providers to ensure all material risks are addressed. 
  • Manage and provide advice on legal documentation and commercial terms relating to our direct investment activity. 
  • Ensuring the maintenance of company secretarial records and legal compliance for our direct investments.
  • Oversee various business-related negotiations including a variety of contracts, consulting with external counsel as needed. 

Your Experience and Qualifications 

  • 10-15 years of legal experience with private practice at a law firm or an in-house legal function within a renewable energy investing environment or a strategic developer / IPP. 
  • Law degree from a recognised university. 
  • Demonstrated understanding of renewable energy investments as well as corporate and M&A transactional law. 
  • Extensive experience working on corporate/commercial transactions in emerging markets with a robust working knowledge of shareholder arrangements and direct investments. 
  • Strong ability to independently lead multiple legal workstreams. 
  • Strong negotiation and drafting skills. 
  • Excellent communication and stakeholder management skills.
