We are partnering with a Multi-Asset Company who has listed REITs, private equity and public equities. They are looking to hire a key personnel in managing their Legal & Compliance function, and you will be working with an established senior management team that embrace an excellent work culture of performance.
You will be responsible for providing in-house legal advice to support key functions, projects and activities of the Company and its Subsidiaries, you will be arranging, liaising and managing external lawyers who provide legal advice or representation to the Group in areas of special expertise or in litigation, and corporate secretarial services provider.
You will review and advise the management team on transactional documents, including but not limited to non-disclosure agreements, heads of terms, legal due diligence reports, and sales and purchase agreements. You will be preparing internal legal documents such as Board resolutions and shareholders’ agreements. You will be reviewing and/or preparing documents involving external parties such as subscription agreements, and investor side letters. You will ensure compliance with applicable laws as well as implementing relevant process.
You will be leading and mentoring the compliance team, fostering a culture of integrity and ethical behaviour throughout the organization. You will oversee the development and implementation of a comprehensive compliance strategy and collaborate with senior management and the board of directors to report on compliance matters and develop strategic initiatives.
You will provide mentorship and supervision to the compliance team to formulate, implement and maintain group compliance policies and procedures (including but not limited to whistleblowing, outsourcing, gifts register, employee share trading register, AML/CFT, data protection, client onboarding, KYC, business continuity etc.) in accordance with Singapore and Foreign regulations where applicable. You will ensure that policies are effectively communicated and understood throughout the organization by the compliance team. You will monitor and interpret relevant laws, regulations, and industry standards to ensure the company's policies and procedures are up-to-date. You will ensure timely and accurate reporting by the compliance team to regulatory authorities (on regulatory requirements such as Annual Audited Returns, Financial Resources Requirement, General Notifications, Licensing, Incident Reporting, Suspicious Transactions Reporting (STR), Common Reporting Standard (CRS), etc), and manage relationships with external regulators.
You will provide mentorship and supervision in identifying and assessing compliance risks, implementing effective controls and mitigation strategies, oversee the conduct of regular audits and risk assessments to ensure adherence to compliance requirements and address any issues promptly. You will also be providing guidance to the compliance team to design and deliver compliance training programs. You will be leading and investigations into compliance violations or ethical concerns, ensuring thorough and objective resolutions and oversee the development and implementation of corrective action plans to address identified issues and prevent recurrence.
Requirements
You possess a Bachelor’s Degree in Law, from a reputable university in a Common Law based jurisdiction and comes with strong legal experience in corporate and commercial matters. You have about 5 - 12 years of relevant working experience in law firm and/or in-house/investment firm etc.
You have a sense of urgency and have able to thrive in a fast-paced environment.
You are resourceful and have manage a lean team with some overseas transactions experience.
