Corporate Secretarial Manager

Our client, an innovative technology firm specializes in providing accounting and corporate services, is seeking a highly motivated and experienced Corporate Secretarial Manager to lead their corporate secretarial team of 6 to 8 staff members. The successful candidate will ensure compliance with regulatory requirements and provide exceptional corporate governance services to our clients.


Key Responsibilities:

  • Oversee the corporate secretarial function for a diverse portfolio of clients, ensuring adherence to the Singapore Companies Act and other relevant regulations.
  • Manage and maintain statutory registers, filings, and records for clients.
  • Prepare and review corporate documents, including board resolutions, minutes of meetings, and annual returns.
  • Provide guidance on corporate governance best practices and compliance matters to clients.
  • Liaise with regulatory authorities, including ACRA and the Monetary Authority of Singapore (MAS), on behalf of clients.
  • Lead and mentor a team of 6 to 8 corporate secretarial professionals, fostering a culture of excellence and continuous improvement.
  • Conduct training sessions for staff on corporate secretarial practices and compliance updates.
  • Assist clients with company incorporations, changes in shareholding, directorship, and other corporate actions.
  • Develop and maintain strong client relationships, ensuring high levels of client satisfaction.
  • Stay updated on regulatory changes and industry trends to provide proactive advice to clients.

Qualifications:

  • Minimum 5 years of relevant experience in corporate secretarial roles, preferably in a corporate services environment.
  • Strong knowledge of Singapore corporate law and governance practices.
  • ICSA or equivalent professional qualification is preferred.
  • Excellent communication, interpersonal, and organizational skills.
  • Proven ability to manage multiple priorities and meet deadlines.
  • Strong analytical and problem-solving abilities.
