Senior Corporate Secretary Executive

Job Summary:

Assist CEO with helping client to set up the new entity in Singapore, manage & oversee the corporate secretarial duties for multiple client companies. The role involves ensuring that each client complies with statutory regulations and governance requirements are expected to adhere to high professional standards by ensure that companies operate smoothly, avoid legal pitfalls, and maintain good standing with regulatory authorities.


Job Responsibilities:

Client Management:

  • Serve as the Corporate Secretary for multiple client companies, ensuring compliance with the Singapore Companies Act and other relevant regulations.
  • Build and maintain strong relationships with clients, acting as their primary point of contact for corporate secretarial matters.
  • Understand clients’ business structures and provide tailored advice on corporate governance and compliance issues.

Regulatory Compliance:

  • Ensure that each client company complies with statutory obligations, including the filing of annual returns, maintenance of statutory registers, and submission of necessary documents to the Accounting and Corporate Regulatory Authority (ACRA).
  • Keep up-to-date with changes in relevant legislation and regulations, advising clients accordingly.

Board and Shareholder Meetings:

  • Coordinate, schedule, and attend board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs) for clients.
  • Prepare and circulate agendas, board papers, and minutes of meetings.
  • Draft and circulate resolutions, ensuring that they are properly documented and signed.

Corporate Governance Advisory:

  • Provide expert advice on corporate governance practices, helping clients adhere to best practices and meet their statutory responsibilities.
  • Assist clients in establishing and implementing corporate governance policies.

Documentation and Record Keeping:

  • Maintain and update statutory registers, including Registers of Members, Directors, Secretaries, and Charges for each client company.
  • Safeguard clients' corporate documents, such as certificates of incorporation, share certificates, and company seals.
  • Ensure that all statutory records are maintained accurately and are readily available for inspection.

Shareholder Services:

  • Manage the issuance and transfer of shares, and handle shareholder communications and queries.
  • Administer dividend distributions and ensure compliance with all legal requirements related to shareholder matters.

Risk Management and Compliance:

  • Identify potential risks associated with clients’ corporate governance and compliance practices.
  • Assist clients in mitigating risks by advising on best practices and compliance strategies.

Immigration-related matters:

  • Application of clients EP/DP/STVP and related pass application.
  • Oversee clients onboarding related passes application

Liaison and Coordination:

  • Liaise with external regulatory bodies, auditors, lawyers, and other stakeholders on behalf of clients.
  • Coordinate with internal teams to ensure that client needs are met efficiently and effectively.

Business Development Support:

  • Support business development initiatives by identifying opportunities for additional services and cross-selling other services offered by the firm.
  • Assist in onboarding new clients and providing them with a seamless transition into the firm’s services.

Training and Development:

  • Stay updated on changes in corporate laws, regulations, and governance practices.
  • Participate in professional development activities to enhance skills and knowledge.

Qualification

  • Diploma or Degree in Law, Business Administration, or a related field.
  • Qualified Chartered Secretary, with membership in the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA) or equivalent.
  • Candidates are RFA (Registered Filling Agent) Under ACCRA.
  • 5-8 years of experience in corporate secretarial services, preferably in a corporate secretarial services firm.
  • In-depth knowledge of the Singapore Companies Act and ACRA regulations.
  • Experience handling a diverse portfolio of clients is a plus.

  • High attention to detail and the ability to handle confidential information with discretion.
  • Proficiency in using corporate secretarial software and tools.
