Overview
He/She will provide efficient and timely legal support to all business functions within the Company Group. The Legal Counsel is based in Singapore and supports primarily the Singapore businesses but some regional support in China, Australia and Indonesia may be required.
Duties and Responsibilities
1.Legal
• Drafting, vetting and negotiation of various agreements including dealer/ distributor agreements, bank facility and security documents, tenders, procurement contracts or service agreements with vendor / suppliers, tenancy agreements etc.
• Ensure compliance with relevant laws, rules, regulations and guidelines.
• Highlight potential risks and provide recommendations to limit exposure.
• Advice and manage disputes/litigation.
• Administration of Group’s intellectual property and proprietary information.
• Drafting and review of corporate documents such as shareholder and board resolutions.
• Manage external legal counsel
2.Contracts and Compliance
• Track/administer key agreements with principals
• Formulate and develop policies and procedures to ensure compliance of Company Group entities with applicable laws/regulations and directives of Company Group HQ
• Conduct training of policies and procedures for staff such as personal data protection, anti-money laundering, code of business conduct and ethics etc.
• Monitor and audit compliance of policies and procedures
3.Protection/Management of Intellectual Property/Data
• Protection and administration of the Group’s intellectual property, proprietary information and personal data
4.Any other suitable duties as assigned by Management
Job Requirements
• Good law degree from NUS or SMU or recognized overseas law degrees from United Kingdom and called to the Singapore Bar
• 6 to 8 years PQE with at least 2 years of prior in-house legal counsel experience
• Strong corporate and commercial background; experience in automotive or retail sectors would be an advantage
• Ability to work efficiently and independently, good team player and business partner
• Commercially savvy, able to apply knowledge of Group’s business and operations to provide value added legal advice and highlight risks
• Good communicator with strong interpersonal and time management skills
• Able to handle a broad spectrum of practice areas including banking and finance, corporate commercial work, consumer and data protection, franchising, compliance matters and disputes
• Inquirer and learner with strong drive for excellence
• This role may require to communicate with Chinese colleague in China to support legal related issues.
