Job Overview:
We are looking for an experienced corporate secretariat professional to support our Group Secretariat function. The ideal candidate will have a strong background in corporate secretarial duties, including extensive experience in drafting and taking detailed meeting minutes for Board and Committee meetings.
Key Responsibilities:
- Maintain records, statutory registers, and documents in compliance with applicable regulations.
- Compile meeting materials and manage logistics for board and shareholder meetings.
- Draft Board and Committee minutes, resolutions, and meeting summaries accurately and in a timely manner.
- Assist with ACRA filings and ensure statutory compliance for group companies.
- Prepare documents for AGM, including the Notice of AGM, Proxy Form, Board Profiles, and Shareholding Statistics.
- Respond to inquiries from directors, shareholders, and stakeholders.
- Monitor industry trends in regulatory compliance and proactively suggest best practices for risk management.
- Support the preparation of Annual Reports and handle ad-hoc administrative tasks as assigned.
Qualifications & Requirements:
- Minimum of 5 years of corporate secretariat experience in a public-listed company (experience in financial institutions or reputable service providers preferred).
- Proven expertise in drafting meeting minutes and corporate documentation.
- Strong knowledge of the Companies Act, SGX-ST Listing Rules, and the Code of Corporate Governance. Familiarity with MAS regulations is a plus.
- Meticulous with strong attention to detail and excellent documentation skills.
- Ability to work independently while collaborating effectively with team members.
- Strong interpersonal and communication skills.
- High level of integrity and accountability.
- Adaptable, with a proactive approach to handling new challenges and tasks.
