We seek an experienced Corporate Secretary to play a pivotal role in maintaining our organization’s integrity, compliance, and operational excellence. Reporting to the Executive Director, you will be a trusted partner to our leadership team, ensuring that all corporate and statutory requirements are met with precision and professionalism.
Key Responsibilities:
- Organize and arrange board and general meetings, ensuring compliance with the Companies Act and the company’s constitution.
- Act as a communication channel for non-executive directors, providing them with timely updates and support.
- Monitor emails for the CEO/ED, respond as needed, and prepare communications on their behalf.
- Organize and plan meetings, take notes, and draft minutes, ensuring compliance with company guidelines.
- Conduct research and prepare documents as required by the reporting manager.
- Schedule departmental meetings, assist in preparing and distributing agendas and materials, and transcribe documents for distribution.
- Maintain confidentiality and be the primary contact between the CEO/ED, Shin, and external stakeholders.
- Perform ad-hoc tasks to support Executive Office colleagues, including managing calls, email inquiries, and deliveries.
- Oversee the safe custody and proper use of the company seal and stamp for all entities under the Park Hotel Group.
- Ensure all official publications, notices, and business communications carry the company name and Unique Entity Number (UEN).
- Support overseas operations in compliance with relevant laws and company procedures.
- Organize travel arrangements and coordinate with different teams for efficient workflow and administrative support.
- Manage shareholder-related duties, including supervising share allotments and transfers and addressing shareholder inquiries.
- Ensure statutory compliance with ACRA, including timely filing of annual accounts, maintaining registers, handling notices of share transfers, changes to the Constitution, and other regulatory requirements.
Ideal Candidate:
- Degree in Business Administration or related field (or equivalent professional experience).
- Qualified Corporate Secretary with relevant certifications.
- At least 3 years of experience in a corporate secretary, governance, or compliance role, ideally within a corporate environment.
- Experienced in governance, compliance, and regulatory matters, with a solid understanding of statutory requirements.
- Highly organized, demonstrating strong communication skills and attention to detail.
- Discreet and trustworthy, capable of handling confidential information with integrity.
- Proactive and skilled at coordinating with multiple stakeholders across various departments.
- Knowledgeable in setting up virtual meetings using platforms like WebEx or other conference call tools.
- Proficient in Microsoft Office Suite, including Outlook, PowerPoint, Excel, and Word.
