Role Overview
You will manage a portfolio of clients, ensuring compliance with regulatory requirements and providing exceptional company secretarial services. This includes strategic advice on corporate governance and maintaining strong client relationships.
Key Responsibilities
1. Client Relationship Management
- Serve as the primary liaison for allocated clients.
- Understand and address business needs, offering governance advice.
- Ensure timely responses and solutions to client inquiries.
2. Company Secretarial Services
- Support in preparing board resolutions, minutes, and statutory documents.
- Ensure compliance with the Singapore Companies Act 1967 and other corporate governance standards.
3. Statutory Compliance
- Track and meet filing deadlines for annual returns, financial statements, and other statutory requirements.
- Accurately lodge information with ACRA and stay informed of regulatory updates.
4. Board and Shareholder Meetings
- Organize and coordinate meetings, including preparing agendas, minutes, and resolutions.
5. Documentation and Record Keeping
- Maintain accurate statutory records and manage corporate documentation.
6. Advisory Services
- Provide insights on corporate governance and regulatory compliance.
- Stay informed about trends and changes in the industry to support clients effectively.
7. Client Onboarding and Due Diligence
- Oversee the onboarding process, ensuring documentation is complete.
- Perform due diligence checks and prepare key documents like the first board resolution, Form 45, share certificates, and registrable controller filings.
8. Conflict Resolution
- Resolve client issues and escalate to management when necessary.
9. Continuous Improvement
- Contribute to refining internal processes and enhancing service quality.
- Pursue ongoing professional development.
10. Administrative Tasks
- Handle administrative duties as assigned.
Requirements
- Educational Qualifications: Diploma/Degree in Business, Law, Accountancy, or a related field.
- Experience:At least 1 year in company secretarial roles in Singapore (fresh graduates welcome).
Familiarity with ACRA filings and procedures.
- Knowledge and Skills:Strong understanding of Singapore company law and corporate governance.
Proficiency in Microsoft Office; familiarity with secretarial software is a plus.
Attention to detail, strong communication skills, and effective interpersonal abilities.
