LEGAL COUNSEL

Job Description

He/She will be responsible for in-house legal matters for the Group including drafting agreements, addressing compliance issues, vetting of commercial agreements and advising on litigation and disputes. The Legal Counsel in Singapore supports Singapore businesses but some regional support for the Group may be required.

This role reports to the Group Senior Legal Counsel based in Singapore.

Advisory

• Provide advice and support to the business units and management with regard to potential impact of relevant laws, rules, regulations and guidelines.

• Anticipate potential risks and liabilities, advise on recommended steps to manage exposure.

Compliance

• Formulate and develop policies and procedures to ensure compliance of Group entities in Singapore with local laws/regulations and directives of Group HQ

• Conduct training of policies and procedures for staff

• Monitor and audit compliance of policies and procedures

Protection/Management of Intellectual Property/Data

• Effective administration and handling of the Group’s intellectual property, proprietary information and personal data (including those of third parties)

Review, draft/negotiate contracts and agreements such as:

• Bank facility documents such as letters of offer, corporate guarantees, personal guarantees, trade facility documentation

• Dealership/ distributorship agreements

• Procurement contracts or service agreements with vendor / suppliers

• Contracts with business partners eg insurance companies, insurance agents, etc

• Sale and Purchase agreements

• Confidentiality agreements

• Tenancy agreements

Qualifications/ Attributes

• Bachelor or Master’s degree in Law from a reputable university

• Min 6-8 years of relevant work experience in large international law firm or multi-national corporation. Previous in-house legal experience is preferred.

• Strong analytical and research skills.

• Well versed in broad spectrum of corporate and commercial matters

• A strong team player with good interpersonal skills and the ability to collaborate effectively at all levels

• Ability to work independently and handle complex transactions

• Proficient in English (written and verbal)

• Detail oriented

• Regional work experience is a plus
