Tatung Sustainability Venture Holdings (Singapore) Pte Ltd is seeking a dynamic and highly skilled Legal Counsel to join our Singapore-based team. As Legal Counsel, you will work at the intersection of law, sustainability, and investments, providing critical support for the company’s operations across Asia, including Greater China and Southeast Asia. You will manage legal matters related to fund management structures, including Cayman funds and VCCs in Singapore, and oversee legal aspects of cross-border investment transactions. Key Responsibilities:
As Legal Counsel, you will:
- Lead legal and compliance functions: Draft, review, and negotiate a wide range of commercial agreements, including fund documentation, partnership agreements, NDAs, and vendor contracts, ensuring alignment with the company’s strategic goals.
- Support fund management activities: Provide legal guidance on the establishment and operation of fund structures such as Cayman funds and VCCs, ensuring compliance with relevant regulatory frameworks.
- Ensure corporate governance: Manage corporate secretarial duties, including preparing board resolutions, minutes of meetings, and maintaining statutory records, while ensuring compliance with regulatory requirements in Singapore and across Asia.
- Facilitate cross-border transactions: Advise on legal aspects of investments and transactions in Greater China, Southeast Asia, and other key markets, focusing on risk management and regulatory compliance.
- Manage legal risks: Proactively identify potential legal risks and develop strategies to mitigate them, supporting the company’s diverse portfolio of sustainability-focused investments.
- Collaborate with external counsel: Liaise with and manage external legal counsel on litigation, regulatory filings, and specialized advisory matters to ensure efficient resolution of complex issues.
- Oversee contract management: Maintain and update the company’s contract database, ensuring agreements are compliant, accurate, and accessible for business needs.
- Support ESG initiatives: Provide legal advice on Environmental, Social, and Governance (ESG) compliance, ensuring the company’s operations align with sustainability regulations and best practices.
Qualifications and Requirements:
- A Bachelor’s degree in Law (LLB) from a recognized university, with at least 2+ years of post-qualification experience (PQE) in corporate or commercial law.
- Proven experience in fund management, including Cayman funds and VCCs in Singapore, is essential.
- Strong knowledge of MAS regulations and guidelines, with a demonstrated ability to ensure compliance with financial and regulatory frameworks.
- Proven expertise in investment laws and regulatory frameworks across Asia, particularly in Greater China and Southeast Asia.
- Demonstrated ability to manage cross-border transactions, draft and negotiate complex agreements, and provide strategic legal advice.
- Expertise in corporate governance, compliance, and risk management, with experience supporting investment and sustainability-focused businesses.
- Admission to the Singapore Bar or a common law jurisdiction is preferred.
