It comprises Transaction Legal which supports the GM, IB and International Wealth Management businesses along with the Corporate Legal Department which includes general corporate, IT and Real Estate, employment, data privacy and litigation and investigations. The Legal team is part of the Legal, Compliance and Controls department in the Corporate Division of the Nomura organization. Role description: Senior level (15 plus years PQE) role within Asia ex-Japan Legal providing legal support to the Global Markets (GM) and Investment Banking Division (IB) of Nomura in Singapore. In performing such role, the candidate will provide leadership to the transaction legal team in Singapore, and work as part of, a broader team of transaction lawyers across the Asia ex Japan region supporting the GM and IB businesses and also work closely with (i) other members of the Asia Legal team, including product specialist lawyers and subject matter specialist lawyers, (ii) Compliance team members, the New Business Group, internal Risk teams and other corporate functions, and (iii) external legal counsel and other external counterparties. Responsibilities: • Provide leadership and management support to Singapore-based transaction legal team membe • Engagement with and advice to senior stakeholders in Singapore including the GM management team, Singapore country management and senior corporate stakeholders in Singapore including in Risk, Finance and other functions. • Provide support to the GM and IB business teams on legal, regulatory and reputational risk aspects of the business (working in conjunction with other corporate colleagues). • Analyze relevant issues and seek alternatives to mitigate risk through appropriate legal documentation, transaction structures or otherwise. • Draft, review, and negotiate a variety of legal documentation (including mandate letters, NDAs and standard transactional documents) for the engagement, origination and closing of transactions. • Work closely with the GM, IB and other corporate colleagues to ensure that relevant legal, regulatory and reputational risks are escalated to senior management for consideration and approval. • Supervise external legal counsel and control the quality/cost thereof. • Participate in internal committees and discussions relating to the GM and IB businesses, including in relation to specific transactions and new products or structures. Requirements: • Qualified lawyer in a common law jurisdiction • Experience in managing a team of senior in-house lawyers • Minimum 15 years PQE • Deep transactional experience in global markets transactions, particularly in derivatives, repurchase agreements and structured markets products, and some experience in investment banking transactions (including M&A transactions and debt and equity capital markets transactions) • Contract review and drafting skills • Prior in-house experience at financial institutions Additional Information: • Candidate should ideally come from an in-house role at an international commercial or investment bank, and with relevant private practice experience. • Candidate should be able to work on multi-jurisdictional transactions and, (where applicable) in collaboration with other internal control functions (e.g. Compliance) and external counsel, advise internal stakeholders of the associated legal risks and support the Business on execution of the transaction. • Candidate should be able to handle tight timelines as transactions and internal processes may be fast-moving. • Candidate should be aware of, and be able to keep up to date with, relevant global and regional legal and regulatory developments. • Candidate should have experience in managing a senior high performing legal team Diversity Statement Nomura is committed to an employment policy of equal opportunities, and is fundamentally opposed to any less favourable treatment accorded to existing or potential members of staff on the grounds of race, creed, colour, nationality, disability, marital status, pregnancy, gender or sexual orientation.
