We are currently looking for a Legal Counsel in Singapore to provide legal support to the supply chain and project execution of Yinson Production (“YP”). The Legal Counsel will be working closely with YP’s Chief Counsel and the rest of YP’s Legal team worldwide. We can offer exciting, varied and high-paced project transactions with a wide range of legal tasks.

Key Duties & Responsibilities

• Draft, review and negotiate project documents, such as frame agreements, EPC contracts, service contracts and supply chain contracts, with YP’s key subcontractors, which would include (without limitation), shipyards, topside fabrication contractors and EPC contractors.
• Coordinate the interface and allocation of responsibilities between YP’s supply chain department and Legal department.
• Draft, review and negotiate corporate M&A documents, such as share purchase agreements, joint venture agreements, shareholders agreements and memorandum of agreements etc. for projects development.
• To be responsible for and oversee the work of external legal counsels.
• To work with various departments such as finance, company secretary, tax and/or project teams to ensure that the legal aspects of a project transaction are in line with the general objectives of YP and the requirements as set out in YP’s client contracts.
• Draft, review and finalise board resolutions and papers for project documents and execution.
• Review and negotiate confidentiality agreements/NDAs with counterparties.
• To undertake general in-house legal work and provide legal support to all departments or disciplines within YP, when necessary and required.
• QHSSE Duties – every employee shall:

1. Take care of themselves and others who may be affected by their acts or oversights;
2. Not interfere with or misuse anything supplied for their health, safety and welfare;
3. Report quality related problems and HSSE hazards or deficits within their area to the QHSSE department;
4. Promote and take part in the QHSSE continuous improvement process.

Qualifications

• Candidate must possess LL.B honors degree from a reputable university.
• Professionally qualified in a common law jurisdiction.
• In depth knowledge of offshore industry, EPC contracts and/or projects documentation.
• Experience from a reputable law firm (preferably) and/or in-house legal department within the offshore or shipping industry.
• Minimum 7 years’ PQE.
• Experience in cross border and international project transactions and management.
• Be a strong communicator and possess a commercially savvy approach to legal matters.
• Transaction execution is an important part of this role and the ability to manage projects, multi-task and prioritize competing demands are essential attributes.
• Strong cross-cultural communication skills.
• Excellent teamwork skills to partner and work together with the other relevant stakeholders of YP in project management and execution.

Duties of In-House Legal Counsel:

• Offer strategic legal guidance to management and business units on diverse legal and compliance aspects, encompassing insurance law, corporate governance, employment law, intellectual property, data protection, and litigation.

Role Purpose

Reporting directly to the General Counsel, the Legal Counsel will provide real-time legal advice and support to the bulk businesses and the bulk corporate team. Whilst the role will incorporate both contentious and non-contentious work, the focus will be on providing contentious support for the Swire Bulk chartering and operations teams.

Role Accountabilities

Business Partnering

· Provide real-time legal support to the commercial departments, with particular focus on the Swire Bulk chartering and operations teams.

· Support commercial teams in the resolution of contentious issues including real-time guidance on risk-mitigation, tactical and strategic issues and appropriate escalation.

Legal Support

· Day-to-day management of formal dispute proceedings in various jurisdictions, coordinating commercial teams, insurers, clubs, and external counsel as required.

· Draft, review and advise on legal documents (including charter agreements, service agreements, equipment purchase/hire agreements, shipbuilding contracts, etc) and assist with the negotiation of such documents where required.

· Provide legal support on special projects such as the acquisition of businesses/assets, as required.

External Relationships/Knowledge

· Maintain and develop strong relationships with external legal partners, insurers and support providers.

· Keep abreast of relevant legal developments and provide updates/training to the commercial teams as appropriate.

Crisis Management

· Make every effort to be aware of and understand your role in the event of a crisis.

· Make every effort to attend any relevant training, simulations and or meetings relating to Crisis Management.

· Perform your role as best as possible in a calm and collaborative manner in line with the relevant policy and procedures in the event of a Crisis.

· Provide input and feedback towards the ongoing improvement of the Crisis Management framework and procedure.

Key Qualifications & Skills

Qualifications

· English or Singapore qualified lawyer.

· At least 5– 8 years PQE gained in the shipping department of an international law firm.

· Experience in a P&I/FD&D club or ship-owner preferred.

Professional Skills

· Genuine understanding of the shipping industry.

· Able to manage conflicting demands from multiple business clients in a fast-paced environment while paying attention to detail.

· Ability to prioritise.

Technical Skills

· Strong litigation background with experience of the day-to-day management of contentious cases (under the guidance of a partner/manager).

· Excellent drafting skills with experience of drafting contentious correspondence and formal submissions. Contract drafting experience welcome.

· Non-contentious experience is desirable (but not essential), particularly ship-finance or corporate.

Daily responsibilities:

1. Providing day to day support to the oil, products, carbon, power and LNG  trading desks (in particular, the LNG desk), including drafting, reviewing and negotiating, spot and term sale and purchase contracts, tenders and storage agreements, and dealing with “live” issues relating to potential and actual non-performance, force majeure events, and quantity and quality issues;
2. Providing day to day support in relation to shipping matters;
3. Working with and managing external counsel in connection with contentious and non-contentious matters; and
4. Working closely with the Credit team in connection with payment and security matters, counterparty default, credit and cargo insurance, and the Compliance team including in connection with the drafting and negotiation of sanctions and anti-corruption provisions, and regulatory matters.
