The Corporate Secretarial Executive will work closely with the Executive Director and Managers in the Corporate Secretarial (CoSec) department to provide overall management of the corporate secretarial work and facilitation as well as internal services of the corporate level and the external liaison work.

Key Responsibilities:

• Handle a portfolio of local private limited companies and branches of foreign companies with minimal supervision.
• Manage all corporate secretarial work related to your portfolio including preparing necessary documents/resolutions, bizfiling, updating statutory registers, liaising with clients, etc.
• Liaise with and advise clients on company formation, annual compliance and ongoing company administration matters.
• Liaising with Registered Agent for incorporation of offshore companies.
• Maintaining and updating companies’ statutory registers, filing of certain specific resolutions with the Company Registrar of various offshore jurisdictions in compliance with the respective statutory requirements of each jurisdiction.
• Performing related ad-hoc assignments pertaining to the role

Requirements and Qualifications:

• 2-3 years of corporate secretarial experience in the Corporate Services Industry or related field
• Minimum Diploma, or Certification of specific major, or equivalent corporate secretarial qualifications
• Meticulous, ability to multi-task, organize, and prioritize work.
• Able to work independently and with integrity, with fair and principled temperament with a facilitative and commercial approach to matters.
• Demonstrate strong interpersonal skills when interacting with internal and external clients.
• Excellent written and verbal communication skills
• Proficiency in Microsoft Office suite (Outlook, Excel, Word, PowerPoint, etc.).

The following is a plus:

• Knowledge of BizFile and XBRL will be a plus.

Job description:

The role will include, but not be limited to, the following activities and responsibilities for various countries in Asia including Singapore, Malaysia and China:

General Transaction Support

• Support General Counsel and country managers and country team on all matters in the negotiation and delivery of M&A, projects and financing, including (but not limited to):

M&A

• Responsible and lead for legal due diligence, legal structuring and legal documentation (term sheets, MoUs, SPAs, SHAs, JV Agreements etc.), signing and closing processes for any mergers and acquisitions and/or joint ventures or other partnerships
• Works together with deal team in negotiations with counterparties and relationship management
• Responsible for advising on regulatory approvals and any listing processes
• Responsible for ensuring ongoing monitoring and compliance with documentary obligations (in collaboration with responsible finance and other colleagues)
• Advising on new market entry for BECIS in relevant countries in SEA, understanding and on regulatory and contractual structures on the basis of local advice and setting up appropriate structures for entry

Finance (Debt and/or Equity)

• Support for legal due diligence, legal structuring and documentation (project finance documentation, SPAs, SSAs, SHA’s etc.), signing and closing processes for any debt or equity fund-raise, strategic mergers and acquisitions
• Works together with deal team in negotiations with counterparties and relationship management
• Responsible for ensuring ongoing monitoring and compliance with document obligations (in collaboration with responsible finance and other colleagues)
• Projects
• Managing in-country legal teams in reviewing and executing strategic and project documentation for distributed energy solutions for C&I customers (including power purchase agreements, engineering, procurement and construction contracts, O&M contracts)
• Advising on regulations in the energy sector, and related regulations along with local counsel/in-country teams as relevant

General Corporate Counsel Support

Assist with general day-to-day corporate counsel support matters, including assistance

with:

• employment and service provider arrangements and contracting
• immigration and other employment matters
• engagements and mandates
• confidentiality and data protection
• trademarks and copyright
• compliance with group policies and procedures and ensuring BECIS standards are consistently applied
• lease and services agreements
• setting up and managing contract and work-flow processes
• managing disputes and litigation.

Managing and liaison with Company Secretaries

Manage and liaise with outsourced Corporate Secretary for the various regional investments and holding companies as required including the following:

• Managing local investment structures and assisting in incorporation of tax efficient structures;
• Ensuring all corporate approvals (board, commissioners and shareholders’ resolutions
• and corporate certificates) for all corporate matters for all country entities;
• carrying out ad-hoc regulatory and managing the preparation of forms and filings such as increase and allotment of authorised share capital, change of address in coordination with the admin team;
• Ensuring periodic board meetings in various countries, taking minutes as required;
• Ensuring all corporate filings, record-keeping and KYC for all country entities; and
• Ensuring any applicable regulatory reporting is carried out.

Corporate Governance

Ensuring good corporate governance in country by:

• Ensuring ongoing compliance and reporting with local debt documents, project documents and shareholder and investment agreements;
• Implementing Anti-Bribery, Anti-Money Laundering and Anti-Corruption policies and procedures and provision of training on same;
• Assisting with ‘KYC’ procedures;
• Briefing BECIS legal team on compliance and governance matters and assisting them to prepare compliance reports for relevant SE Asian countries; and
• Managing local permits/licences and maintenance/reporting under same with in- country teams.

Experience: Minimum 3 years post-qualification experience

Role

The Head of Legal and Risk will work closely with and assist the Managing Director to lead all legal and Risk as well as Compliance matters within the Company, contributing to the promotion and development of a compliance culture within the Company. The role is expected to evolve with the needs of the business. The Head of Legal and Risk is expected to be a self-starter and be able to work independently on usual operational tasks while pushing ahead with improvement initiatives. The Head of Legal and Risk reports to the Managing Director.

Job scope:

1. General

a) To provide legal support to various business units and departments.

b) To ensure all documents comply with the laws of the country.

c) To assist in drafting/review internal and external contracts and documentation, and to advise the Company and management on their legal rights and obligations in order to protect the interest of the Company.

d) Act as a central point of contact for MAS, Singapore regulatory issues.

e) Oversee and ensure legal, risk and regulatory compliance.

f) Monitor sanctions developments and their impact on the business.

g) Lead or participate in legal and risk, compliance review covering key aspects of the Company’s operations to ensure adherence to the Group’s policies, operating procedures and regulatory requirements.

h) Implement and conduct regular legal and risk, compliance training programs on an ongoing basis to educate staff on the relevant regulatory developments, compliance policies and procedures.

i) Formulate the legal and risk, compliance and governance strategies.

j) Conduct diligent research into legal issues and recommend revisions as needed across a range of legal documents and agreements.

k) Work closely with stakeholders on non-disclosure, PDPA, agreements and other contracts, etc.

l) Perform evaluations on legal and risk as well as compliance activities, present and report non-compliance and risk issue findings to the management.

2. Specific

A. Risk Management

- Be part of the executive committee in reviewing new business and exiting business of the Company and its related companies.

- To assess, advise and monitor the risk management of the business.

B. Operation Processes

- Work with the COO and the management in updating, upgrading and expanding the operation processes of the overall business, covering legal and risk for the different business lines such as:

• Trust

• Corporate Services

• Fund Administration Services

C. Data Protection Officer

- Be the appointed Data Protection Officer of the Company and its related companies in Singapore.

- Review, update and monitor the implementation of the Company’s Data Protection Policies and Procedures.

D. Insurance Coverage and Terms and Conditions

- To assist Management in reviewing the Terms and Coverage of Insurance, including Professional Indemnity, Directors & Officers Liabilities, plus Cyber Insurance.

- If there is any potential client’s issue, to assess the seriousness of the situation – on any potential claim.

3. The Head of Legal and Risk will also oversee the Compliance Department and will work closely with the team pertaining to compliance matters, implementation, and maintain the group compliance programme.

• Perform customer due diligence (on-boarding and on-going monitoring)
• Monitor deadlines and compliance with statutory requirements, AML, Terrorism
• Attend to striking-off of companies, employment pass applications, administration of CorpPass etc.
• Strong knowledge with Statutory Reporting, filing with ACRA and IRAS and Companies Acts
• Provide good client service ensuring clients receive prompt responses to requests and queries
• Maintain a well-organized filing system in order to enable efficient retrieval of information and documents to clients and auditors
• Sufficient corporate secretarial experiences to be able to handle corporate secretarial works independently
• Administrative and other relevant duties as assigned by manager

Requirements

• Candidates possess a diploma, degree or other professional qualifications in Business Studies or Law or currently pursuing ICSA
• Strong knowledge of Companies Acts
• Knowledge of VCC incorporation will be added advantage
