The Company

With a focus on innovation and accessibility, our client aims to transform the trading experience for retail investors in Southeast Asia. The business sits within a fintech unicorn which has other consumer and B2B fintech BU in the region. Headquartered in Singapore, the newly set up business will operationally start out in Singapore, and will look to expand to Malaysia and other SE Asia markets where the Group operates in. As part of their commitment to delivering a secure and trustworthy trading environment, a Compliance Manager opening has come about to lead the CMS license application, and to concurrently develop and implement regulatory compliance frameworks required for the trading platform.

This is a newly created role reporting directly to the Group’s C-level leadership, providing a unique opportunity to influence the regulatory foundation of the business from inception.

Responsibilities

• CMS License Application: Lead the end-to-end application process for the Capital Markets Services (CMS) license in Singapore and ensure timely approvals from the Monetary Authority of Singapore (MAS).
• Compliance Framework Development: Design, implement, and maintain robust compliance frameworks and policies in line with MAS regulations and other applicable laws.
• Regulatory Advisory: Provide expert guidance to the leadership team on regulatory developments and ensure the company remains compliant with evolving laws and industry standards.
• Risk Assessment: Conduct periodic risk assessments to identify and address compliance risks, implementing appropriate controls and monitoring mechanisms.
• Training & Awareness: Develop and deliver compliance training programs to enhance staff awareness and adherence to regulatory requirements.
• SE Asia Expansion: Oversee the application and compliance processes for regulatory approvals in Malaysia and beyond as the business expands.
• Stakeholder Management: Act as the primary liaison with regulatory bodies, external auditors, and other stakeholders on all compliance-related matters.
• Incident Reporting: Establish protocols for incident reporting and manage any breaches of compliance or regulatory requirements.

Requirements

• Education: Bachelor's degree in Law, Business, Finance, or a related field. Relevant professional certifications (e.g., ICA, CAMS) are a plus.
• Experience: Minimum of 7 years’ experience in compliance roles within B2C brokerage or fund manager entities, with strong familiarity in CMS licensing processes.
• Regulatory Expertise: Deep understanding of MAS regulations and compliance requirements for retail trading platforms and brokerage businesses. Experience with SE Asian regulatory bodies is highly advantageous.
• Framework Development: Proven track record in designing and implementing compliance frameworks from the ground up.
• Leadership: Ability to work independently in a start-up environment while effectively engaging with senior leadership and cross-functional teams.

The Company

Our client is a rapidly growing macro alternative investment manager, the firm specializes in trading interest rate products, vanilla equities, FX, and rates, operating across the Asian financial markets. The Singapore office, established in 2020, houses a diverse team of approximately 30 professionals, including traders, business development specialists, portfolio managers, and partners. This is a new role supporting the head of legal and compliance in Singapore.

Responsibilities

Key responsibilities include:

Legal Support

• Review, draft, and negotiate legal documentation for trading activities, including ISDA agreements, custody agreements, prime brokerage agreements, and fund administration contracts.
• Provide legal support for fund structuring and documentation, primarily in Cayman and Singapore jurisdictions.
• Assist with the legal documentation needs of a parallel fund, particularly during its initial setup phase in 2025, and manage ongoing compliance BAU tasks.

Compliance Oversight

• Monitor and enhance the firm’s compliance program, ensuring adherence to MAS regulations for licensed fund managers and other relevant compliance regimes in the region.
• Collaborate with internal stakeholders to maintain regulatory compliance across trading and business activities.
• Support the COO in regulatory reporting and operational risk matters.

Additional Contributions

• Engage in cross-functional projects, transitioning from legal to compliance as the role evolves.
• Assist with template-based documentation to handle high-volume, routine legal tasks efficiently.

Requirements

Professional Expertise

• Minimum of 5 years of experience in the asset management or hedge fund industry, with exposure to both legal and compliance functions.
• In-depth knowledge of MAS rules and regulations, as well as compliance frameworks in Singapore and other regional jurisdictions.
• Familiarity with ISDA documentation, trading agreements, and fund-related contracts.
• Experience with hedge fund operations and knowledge of SFC compliance regimes is a significant advantage.

Skills and Qualifications

• Qualified lawyer preferred; candidates with relevant paralegal experience will be considered.
• Strong understanding of regulatory requirements impacting licensed fund managers.
• Bilingual proficiency in Mandarin and English is highly desirable.

Responsibilities

• Develop, manage, and continuously enhance a comprehensive compliance program that effectively addresses compliance risks.
• Oversee and assess key compliance initiatives, providing regular updates and reports on status, actions taken, and effectiveness in mitigating risks.

• Core expertise should include risk assessment, post-transaction monitoring and analysis, international sanctions and trade embargoes, anti-bribery and corruption, data privacy, anti-money laundering, and KYC programs.
• Strong familiarity with issues in trading operations and proven experience in issue resolution.
• Detail-oriented with solid analytical and problem-solving skills.
• Strong interpersonal and communication skills, with the ability to build effective relationships.
• Excellent organizational and time management capabilities.
• Proficiency in English and Chinese, both written and spoken, to liaise regularly with the headquarters.
