Job Description

· Provide the full spectrum of corporate secretarial support and services to a portfolio of diversified clients.

· Ensure statutory and compliance requirements of companies are met

· Draft and coordinate circulation of minutes, directors’ resolutions in writing and shareholders’ resolutions

· To liaise and correspond with clients and third parties

· Incorporation of local/ foreign companies and registration /deregistration of companies/Singapore branch / VCC

· Preparation and submission of statutory returns and other lodgement with ACRA.

· Updating and maintaining statutory records and registers

· To keep client entity records up to date in ViewPoint and the physical files by carrying out random reviews and annual reviews ensuring completeness and integrity of records for portfolio of entities under your administration.

· Performing KYC (know your client) screening on both new and monitoring of existing clients as part of the Company’s Internal Compliance Policies Procedures and Controls

· To assist the other members of the Corporate Services team when assistance is required.

· To assist with work pass applications

Job Qualifications:

· ICSA graduate or those pursuing preferred, as well as Degree/Diploma in Business Administration/Commerce or it’s related fields

· 3-4 years’ relevant exposure/experience in professional services firms preferred.

· Computer proficiency in MS office applications

· Good command of English and Chinese (Both Written and Spoken)

· Able to work independently and as part of a team

· Familiar with requirements and changes under the Companies Act and regulations

The Corporate Secretarial Executive will work closely with the Executive Director and Managers in the Corporate Secretarial (CoSec) department to provide overall management of the corporate secretarial work and facilitation as well as internal services of the corporate level and the external liaison work.

Key Responsibilities:

• Handle a portfolio of local private limited companies and branches of foreign companies with minimal supervision.
• Manage all corporate secretarial work related to your portfolio including preparing necessary documents/resolutions, bizfiling, updating statutory registers, liaising with clients, etc.
• Liaise with and advise clients on company formation, annual compliance and ongoing company administration matters.
• Liaising with Registered Agent for incorporation of offshore companies.

Requirements and Qualifications:

• 2-3 years of corporate secretarial experience in the Corporate Services Industry or related field
• Minimum Diploma, or Certification of specific major, or equivalent corporate secretarial qualifications

• Able to work independently and with integrity, with fair and principled temperament with a facilitative and commercial approach to matters.
