• Responsible for the preparation of statutory and corporate meetings, maintaining accurate attendance and records of proceedings (e.g., statutory registers, minute books, and corporate secretarial documents) as well as follow-up actions.
• Assist in onboarding new directors, ensuring compliance with the onboarding process.
• Manage Conflict of Interest (COI) declarations for directors and the CEO, maintain the COI register, and conduct necessary follow-ups.
• Research, data collection and review Terms of Reference.
• Responsible for the renewal of School’s/entity’s operating license.
• Provide secretarial support and liaise with other relevant departments or external parties on corporate secretariat and board-related matters.
• Any other corporate secretarial, administrative or ad hoc duties as assigned.

Requirements:

• Minimum Diploma in Business Administration/Business Management or professional certificate in Chartered Secretary.
• Minimum 2-3 years’ experience in corporate secretarial support
• Proficiency in Microsoft Office Applications
• Self-motivated and proactive; able to work independently and meticulously

Assistant Corporate Secretary

This position reports to our Corporate Services Manager, who has more than ten years of experience in Corporate Services. You will be liaising directly with our ever-expanding international client base to understand their business, maintain a strong relationship with the clients, and advise them on any corporate issues they may face.

Responsibilities

· Assisting in corporate secretarial work, including advisory work, preparing resolutions and meeting minutes.
· Handling ACRA lodgements.
· Providing advice on compliance requirements and ensuring client’s compliance with statutory and regulatory requirements for Singapore or offshore jurisdictions.
· Providing regular reviews/updates and maintaining proper records of clients’ KYC/CDD compliance.
· Maintaining proper updates of companies’ registers and statutory records via the corporate secretarial software.
· Working as a team within the corporate secretarial department to ensure timely progression of workflow, quick turnaround time of client work, and maintaining high-level clients’ services.
· Assist in cross-selling other services provided by other arms of the Company when an opportunity arises.
· Gather clients’ feedback for improving the service-providing process.
· Maintain a strong and ongoing relationship with clients by occasionally updating new and exclusive services.
· Other ad-hoc duties that the Manager may assign from time to time.

Requirements

- Minimum one year of relevant working experience in corporate secretarial work.
- Diploma or degree holder with a background in, but not limited to, accounting or legal studies.
- Fresh graduates of SAICSA/CSIS/MAICSA or currently pursuing SAICSA/CSIS/MAICSA are welcome.
- Good listener, able to elicit information efficiently and effectively.
- Outstanding verbal, written, and interpersonal communication skills.
