Key Responsibilities:
1. Legal Advisory & Risk Management
- Drafting, reviewing, and negotiating contracts: including but not limited to dealer/distributor agreements, bank facility and security documents, procurement contracts, service agreements, tenancy agreements, and other commercial contracts.
- Legal Compliance: Ensure that all business practices comply with local and international laws, rules, regulations, and industry guidelines. Stay updated on evolving regulations that impact the Group’s operations across multiple jurisdictions.
- Risk Assessment: Identify, assess, and communicate potential legal risks. Provide strategic recommendations to minimize legal exposure and protect the Group's interests.
- Litigation and Dispute Resolution: Advise on dispute management and lead the Group’s response to legal actions or claims, managing litigation and negotiations to a successful resolution.
- Intellectual Property (IP) and Proprietary Information: Oversee and manage the Group’s IP portfolio, ensuring robust protection and administration of trademarks, patents, and proprietary information.
2. Contracts & Compliance Management
- Contract Lifecycle Management: Administer and track key agreements with principals, suppliers, and vendors to ensure timely renewals and compliance with contractual obligations.
- Corporate Governance: Draft and review corporate documents, including shareholder and board resolutions, to ensure legal soundness and alignment with business objectives.
- Compliance Policies & Procedures: Develop, implement, and monitor compliance programs in line with regulatory requirements and data protection, anti-money laundering (AML), and business ethics.
- Training and Education: Design and deliver training sessions for staff on relevant legal issues such as compliance with personal data protection laws, AML, and the Group’s code of conduct to promote a culture of legal awareness and ethical behavior.
3. Intellectual Property & Data Management
- Intellectual Property Protection: Safeguard the Group’s intellectual property rights, ensuring proper registration, maintenance, and defense of trademarks, patents, and other proprietary assets.
- Data Privacy: Ensure compliance with data protection regulations (such as PDPA), developing policies to manage personal data in line with best practices and legal obligations.
- Confidentiality & Proprietary Information: Develop and enforce protocols to protect the confidentiality of sensitive business information and proprietary data.
4. Leadership & External Counsel Management
- Team Collaboration: Collaborate with internal stakeholders across departments to deliver sound legal advice aligned with the Group’s business goals. Provide leadership and guidance to junior legal staff and support other departments in legal matters.
- External Counsel: Manage relationships with external legal counsel, ensuring that outsourced legal work is efficient, cost-effective, and aligned with the Group’s goals.
5. Strategic Support & Business Initiatives
- Business Support: Provide legal input on business strategies, partnerships, joint ventures, and new business initiatives, ensuring that the legal perspective is integral to business decision-making.
- Tender & Fleet Sales Support: Assist in legal aspects of fleet sales and tender processes to ensure compliance with regulatory and commercial requirements.
- Regional Support: Provide legal guidance for the Group’s international ventures ensuring compliance with local regulations and managing cross-border legal issues.
6. Other Duties
- Ad-Hoc Responsibilities: Undertake any additional duties or projects as assigned by Management to support the Group’s legal and strategic objectives.
Key Competencies:
- Legal Expertise: Strong background in corporate, commercial, and contract law, with a proven ability to navigate complex legal frameworks in multiple jurisdictions.
- Strategic Thinking: Ability to provide strategic legal insights that drive business outcomes while mitigating risks.
- Negotiation Skills: Demonstrated ability to negotiate effectively with external partners, customers, and legal professionals to secure favorable outcomes for the Group.
- Risk Management: Expertise in identifying, assessing, and managing legal risks to safeguard the Group’s interests.
- Leadership & Communication: Strong interpersonal skills, able to lead legal teams, collaborate with senior management, and communicate complex legal concepts clearly to non-legal stakeholders.
Qualifications:
- Degree in Law (LLB or equivalent) from a recognized institution; admission to the Singapore Bar or an equivalent jurisdiction is preferred.
- Minimum of 7-9 years of experience in commercial law, ideally within a multinational corporation or law firm, with exposure to commercial law, contract negotiation, and compliance.
- Experience in managing external legal counsel and overseeing regional legal matters in multiple jurisdictions.
- Strong knowledge of local and international regulations, including compliance, IP, and data protection laws.
