Position Overview
We are searching for an experienced private credit transactional lawyer who will handle a wide range of transactions for our royalty and private credit funds, all investing in pharmaceuticals, MedTech & Healthcare Services sectors. The successful candidate will report to the Managing Director (Legal, based in Shanghai) overseeing the transaction execution.

Functions and Responsibilities
- Provide day-to-day support to CBC private credit, capital solutions, portfolio finance, private placement and deal teams and portfolio teams on issues related to investments in private credit, structured finance, loans, capital solutions, portfolio investments. Work will include negotiating term sheets (with or without access to external counsel), advising on key legal and commercial issues, advising on the legal structure of transactions and high-level local law considerations, assisting with executing transactions and instructing and liaising with external counsel.
- Provide internal legal advice and work closely with external counsel on matters relating to the Private Credit business such as capital call or fund leverage facilities for the CBC investment funds, or general investor queries.
- Build relationships with and work alongside teams within the business including Investment, Investor Relations, Operations, Compliance functions and other members of the Global Legal Team, as appropriate.
- Assist with the identification of general corporate, tax, risk, regulatory, legal and compliance issues and interface with external law firms in order to render appropriate legal advice regarding the same.
- Manage and maintain relationships with preferred legal advisors.
- Manage external counsels, work alongside with investment team, and coordinate with operations team on the execution of transactions;
- Monitor and update business teams on relevant legal and regulatory developments, and compliance with applicable laws and regulations regarding conflicts of interest, corporate governance, ethics, labor laws, and environmental protection
Qualifications
- A law degree with superior academic credentials from a top-tier law school and 8-10 years PQE as a private credit, debt or financing lawyer in a leading law firms, preferably also having in-house counsel experience in a leading asset manager or other investment institutions;
- Strong legal technical skills and commercial awareness;
- Experience with credit documentation including grids, term sheets and commitment letters, facilities agreements, intercreditor agreements and note purchase agreements.
- Familiarity with Loan Market Association standard documents required.
- Familiarity with distressed credits and support for workouts and restructurings a plus.
- Familiarity with structuring and regulatory considerations in Europe, with key jurisdictions including US, Japan, Korea, Singapore, Mainland China
- Build relationships with, and work alongside, business teams and other members of the Legal Team, as appropriate.
- Self-starter with a flexible “can-do” mentality and commercial approach.
- Excellent organizational skills and the ability to manage competing workloads of diverse matters in a timely manner.
- A team player, with a willingness to collaborate and share know-how amongst colleagues.
- Strong written and oral communication skills. Any additional language proficiency is highly preferred.
- Ability to work to tight deadlines and prioritize work according to urgency and importance.
- Willingness to go beyond existing areas of expertise and work in new areas of law relevant to the business.
