PURPOSE:
The Legal Counsel is to provide assigned business units with legal advice, to provide legal support to business activities and any strategic and operational matters and issues. This will include but not be limited to providing legal advice, legal support and contract review in respect of all contractual transactions (including but not limited to regional tenders, bids and all contract management related matters. The Legal Counsel shall be part of the Asia Pacific Legal Team and shall provide legal advice and support on any projects and tasks assigned by the General Counsel (General Manager Legal) or designated team leader / supervisor. These projects can include but shall not be limited to matters relating to: corporate secretariat, governance & compliance, disputes & litigation as well as investigation and intellectual property matters.
RESPONSIBILITIES & TASKS
- To provide competent and sound legal advice to the Company, the FB Group and its Affiliates in a practical, efficient and timely manner.
- To review/draft contracts pertaining to the business including but not limited to supplier contracts, customer contracts, inter-company contracts as well as regional tenders, bids, international sales/service transactions as well contracts with a global / multi-jurisdictional perspective.
- To negotiate with external parties (including but not limited to suppliers and customers of the Company) on legal issues and work to resolve any legal related matters arising between the Company and such external parties, suppliers or customers.
- To provide legal advice. legal support and work with the Company’s internal customers and stakeholders (internal functions) including but not limited to the sales/marketing department and all corporate support functions.
- To coordinate and co-operate with all related organizations including FB Asia Pacific affiliates, FB Japan, FF Japan, FUJIFILM Holdings and the overall FUJIFILM Group to work on contracts, legal matters and any other matters so assigned by the General Counsel.
- To raise and highlight all and any material legal issues to the supervisor / reporting manager / General Counsel and/or senior management whenever necessary.
- To provide legal support, guidance and work with the Company’s affiliates and any member of the overall FUJIFILM Group whenever so instructed, assigned and/or tasked to do so by the General Counsel.
- To take on any projects or tasks deemed appropriate and assigned by General Counsel. This may include but shall not be limited to projects relating to corporate secretarial matters, mergers and acquisitions, governance, compliance, regulatory, organizational structure, data privacy or any directly or indirectly legal related matters.
To succeed in this role, you will need to possess the following qualifications, skills and experiences:
- 3 to 5 years' experience
- Degree in Law; Must be a qualified lawyer
- Strong grasp of legal and commercial concepts
- Strong language capability in English legal terminology (MUST) and Mandarin (Preferred)
- Contract review/drafting skills
- Legal negotiation skills
- Clear and concise communication skills.
- Commercial and business awareness.
- Experience in having worked on complex commercial contracts and contracts on international sales / service transactions
- Good grasp of timeliness and work process management
- Willingness to learn and adapt to challenging and evolving work scenarios
- Collaborative and harmonious spirit to work with others
- Co-operative attitude and willingness to be a team player
- Legal experience in working in multinational companies and contract management experience would be an asset
- Broad communication skillsets and abilities to work with a variety of stakeholders. (For example: Both external and internal customers, APAC affiliates, Japan HQ, Tokyo and international affiliates for the purpose of coordination of contracts and other legal matters)
- Ability to work under time pressure sensitive scenarios and to work on multiple matters, dealing with a number of internal customers concurrently
- Ability to receive and take on guidance and direction and also work independently to helm various projects as and when required
